Short answer: Tesla did ask shareholders to approve a move from Delaware to Texas and to support Elon Musk’s 2018 compensation award, commonly described as a $56 billion package. Shareholders approved both proposals on June 13, 2024. That vote did not immediately restore the award: Delaware’s Court of Chancery rejected the attempted ratification later that year. On December 19, 2025, however, the Delaware Supreme Court reversed the rescission remedy and reinstated the 2018 award. Tesla is now a Texas corporation, while the award’s eventual value still depends on Tesla’s share price, exercise, taxes and other conditions.
Tesla’s 2024 proxy campaign combined two unusually consequential proposals: changing the company’s state of incorporation from Delaware to Texas and asking shareholders to ratify Elon Musk’s 2018 CEO Performance Award.

The headlines often reduced the second proposal to Musk’s $56 billion pay package. That description needs an important correction. Musk was not awarded $56 billion in cash. The compensation consisted of performance-based stock options. The figure was an estimated market value that changed with Tesla’s stock price, and the options had an exercise price of $23.34 per share after later adjustments.

What was actually in Musk’s 2018 award?
Tesla’s 2018 plan was an incentive award tied to ambitious company performance targets. It was not a guaranteed salary, a cash bonus or an unconditional grant of Tesla shares.
The original award description required Tesla to achieve specified market-capitalization and operating milestones before the options could vest. Among the stated targets was a Tesla market capitalization of $650 billion, along with at least 12 of 16 revenue or adjusted-EBITDA milestones.
After subsequent share adjustments, Tesla’s 2024 proxy described the award as approximately 303.96 million split-adjusted option shares. The exercise price was listed as $23.34 per share.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsAn option gives its holder the right to buy shares at the exercise price. Its economic value is therefore linked to the difference between Tesla’s market price and that exercise price. In simplified terms, the pre-tax intrinsic value of all the options, if they were exercisable and the market price were above the strike price, would be:
303,960,630 × (Tesla share price − $23.34)
That is only a way to understand the economics, not a statement of the award’s final value. It does not account for taxes, trading restrictions, the timing of exercise, market movements or the precise terms governing settlement.
Why the package was called $56 billion
The approximately $56 billion figure was a headline valuation of the options, commonly reported at about $55.8 billion when the Delaware litigation became central to the story. It was not money transferred from Tesla to Musk.
The value of an option package can rise or fall substantially without Tesla issuing any additional cash. If Tesla’s share price increases, the gap between the market price and the $23.34 exercise price becomes larger. If the share price falls, the options become less valuable. The exact value on any particular day therefore depends on Tesla’s market price and the award’s remaining terms.

There is also a difference between vested, exercised and realized:
- Vested: The performance and service conditions have been satisfied, so the option is no longer subject to forfeiture for failing those conditions.
- Exercised: The holder uses the option to purchase the underlying shares or otherwise settles it under the applicable rules.
- Realized: The holder ultimately receives economic proceeds, generally after considering exercise, sale, taxes and market price.
Tesla’s March 31, 2026 quarterly filing said the options underlying the 2018 award were fully vested and that their grant-date fair value had already been recognized for accounting purposes. That does not mean Musk had necessarily exercised every option or that the accounting value equals the package’s current market value.

Why did Tesla ask shareholders to vote again?
In January 2024, Delaware Chancellor Kathaleen McCormick ruled that Musk’s 2018 compensation award should be rescinded. Tesla responded by putting two proposals before shareholders in its April 2024 proxy:
- Redomestication to Texas: Move Tesla’s legal domicile from Delaware to Texas, where Tesla already had its corporate headquarters.
- Ratification of the 2018 award: Ask shareholders to approve the Musk compensation plan again and reaffirm their support for it.
Tesla’s proxy emphasized that shareholders had already approved the award in 2018. The company argued that a new vote would demonstrate continued shareholder support and address the problems identified in the litigation.
The proposals were presented together during an especially contentious dispute with Delaware courts. Tesla’s stated business rationale for the Texas move was that the company was headquartered there and should be incorporated where it was based. The timing also led commentators to view the move through the lens of Tesla’s dissatisfaction with the Delaware compensation ruling. Those are different claims: Tesla’s stated rationale is a matter of corporate record, while the broader interpretation concerns motive and governance context.
What did shareholders approve in June 2024?
At Tesla’s annual meeting on June 13, 2024, shareholders approved both proposals. Tesla’s announcement identified the Texas conversion as Proposal Three and the Musk award ratification as Proposal Four.
Tesla reported that the required conversion filings had been submitted and that the company was then incorporated in Texas. In practical terms, Tesla changed its state of incorporation, or legal home. That is different from moving its manufacturing plants, engineering operations or headquarters; the company already identified Texas as its headquarters location.
The shareholder vote supporting Musk’s award was important, but it was not automatically the final word in the court case. The central legal question was whether shareholders could retroactively cure the defects identified by the Delaware court by voting again after the court had already ordered the award rescinded.
Why the 2024 vote did not immediately end the lawsuit
In December 2024, the Court of Chancery rejected Tesla’s attempt to give the new ratification vote legal effect. The court’s reasoning involved concerns about the procedure, timing, disclosures and the fiduciary-review issues surrounding the original transaction.
The dispute was not simply about whether a majority of shareholders supported Musk. It also involved the circumstances in which the award had been approved, Musk’s influence over Tesla’s board and the level of judicial scrutiny that should apply to a conflicted-controller transaction.
That distinction explains why a second shareholder vote did not instantly settle the matter. Shareholder approval can be significant evidence of investor support, but it does not necessarily eliminate every legal defect in an earlier board process or override a court’s analysis of fiduciary duties.

The Court of Chancery also awarded $345 million in attorneys’ fees to the plaintiff’s counsel. That fee award was later challenged on appeal. The fee dispute was separate from the question of whether Musk’s compensation plan itself should remain in force.

On December 19, 2025, the Delaware Supreme Court reversed the Court of Chancery’s decision to rescind the 2018 compensation plan.
The Supreme Court left the trial court’s factual findings in place but concluded that rescission was not the appropriate remedy under the circumstances. It reinstated the 2018 plan and awarded the plaintiff nominal damages.
This produced an important distinction in the final outcome:
- The 2024 shareholder vote itself did not immediately restore the award after the Court of Chancery rejected its legal effect.
- The 2025 appellate ruling ultimately restored the plan through the judicial process by reversing the rescission remedy.
In other words, the 2024 vote and the 2025 Supreme Court decision should not be treated as interchangeable events. The vote showed shareholder support. The later appellate ruling determined that rescission was not the proper remedy.

Why Delaware still had jurisdiction after Tesla moved to Texas
Tesla’s move to Texas changed its state of incorporation, but it did not erase litigation that was already pending in Delaware. It also did not automatically invalidate prior Delaware judgments or prevent Delaware’s appellate courts from reviewing the Chancery Court’s ruling.
That is why the Delaware Supreme Court continued to hear the appeal. A corporate redomestication is not a procedural reset button for every existing lawsuit. The company’s current Texas incorporation and the older Delaware litigation could coexist.
This point matters beyond Tesla. A corporation can change its state of incorporation while disputes involving earlier conduct, prior corporate law and existing court orders remain subject to the courts handling them.

Tesla registered 303,960,630 shares issuable to Musk under the 2018 CEO Performance Award. A related Form 4 described the option exercise price as $23.34 per share.
Registration means Tesla disclosed and registered the shares that could be issued under the award. It does not by itself mean that all those shares had already been issued or sold.
Tesla’s March 31, 2026 quarterly filing also separated the restored 2018 award from a later compensation arrangement. The filing described a separate 2025 CEO Performance Award consisting of 423,743,904 performance-based restricted shares. Tesla shareholders approved that later award in November 2025.
These awards should not be combined when discussing Musk’s compensation. The 2018 award consists of options. The 2025 CEO Performance Award consists of performance-based restricted shares. The two instruments have different structures, dates and terms.

A later April 2026 report said Tesla revoked a roughly $29 billion interim award after the Delaware Supreme Court restored the larger 2018 award, reducing the risk of duplicative compensation. The SEC filings are the better source for exact share counts, dates and legal mechanics; the reported revocation supplies additional chronology and market context but should not be treated as a substitute for those filings.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What does this mean for Tesla shareholders?
The decision has several practical implications for investors.
Potential dilution
If options are exercised and shares are issued, existing shareholders may own a smaller percentage of Tesla. The relevant figure is the number of shares issuable under the award, not the $56 billion headline value alone.
Dilution is not the same as Tesla paying $56 billion. It is the potential increase in shares outstanding and the resulting effect on each existing shareholder’s percentage ownership and per-share economics.
Leadership incentives
The award ties Musk’s potential compensation to Tesla’s market value and operating performance rather than to a conventional annual salary. Supporters can view that structure as a way to align the CEO’s incentives with long-term growth. Critics can view the size of the award and the board-approval process as governance risks.

Governance and board independence
The case highlights the difficulty of evaluating a compensation transaction involving a powerful founder or controlling shareholder. The legal issue was not only whether Tesla performed well. It was also whether the board’s process was sufficiently independent and whether shareholders received the information and protections required for their approval to carry legal weight.
Corporate-law strategy
Tesla’s Texas redomestication placed the company under a different state corporate-law framework going forward. But the move did not remove the Delaware courts from the existing compensation litigation. For investors, the episode demonstrates that a change in domicile can affect future governance questions without wiping away historical liabilities or pending appeals.
Does the dispute affect Tesla vehicles or owners directly?
Not in the way a recall, warranty policy or production decision would. The Musk compensation case does not by itself change a Tesla vehicle’s warranty, charging system, software features or maintenance requirements.

Common misunderstandings about the Tesla-Musk award
| Misunderstanding | More accurate explanation |
|---|---|
| Musk received $56 billion in cash. | The package was made up of performance-based stock options whose value fluctuated with Tesla’s share price. |
| The June 2024 vote immediately ended the case. | The Court of Chancery rejected the vote’s legal effect later in 2024; the award was ultimately restored by the Delaware Supreme Court in 2025. |
| Moving to Texas ended Tesla’s Delaware exposure. | Tesla became a Texas corporation, but pending Delaware litigation and appellate review continued. |
| The 2018 and 2025 awards are the same. | The 2018 plan involves options; the separate 2025 CEO Performance Award involves performance-based restricted shares. |
| Fully vested means all shares were already issued. | Vesting means the award’s conditions were satisfied. Exercise and issuance are separate steps. |
The bottom line
Tesla’s shareholders approved the company’s move to Texas and a second vote supporting Musk’s 2018 compensation award in June 2024. The approval did not immediately cure the legal problems identified by Delaware’s Court of Chancery. The Delaware Supreme Court’s December 2025 ruling later reversed the rescission remedy and reinstated the award.
As of August 12, 2026, Tesla is a Texas corporation and its filings show the restored award being implemented. But the phrase $56 billion remains a shorthand for a changing equity valuation, not a fixed cash payment. The eventual economic outcome depends on Tesla’s share price, how and when the options are exercised, taxes, dilution and the terms of the separate compensation awards.

Did Elon Musk actually receive $56 billion from Tesla?
No. The approximately $56 billion figure was a market valuation of a performance-based stock-option package, commonly estimated at about $55.8 billion during the litigation. It was not a fixed cash salary or guaranteed bonus, and its value changes with Tesla’s share price.
Did Tesla shareholders approve Musk’s pay package?
Yes. Shareholders approved the original 2018 award on March 21, 2018, and approved a second proposal supporting the award on June 13, 2024. The later vote did not immediately restore the award after Delaware’s Court of Chancery rejected its legal effect. The Delaware Supreme Court reinstated the plan on December 19, 2025.
Is Tesla incorporated in Texas now?
Yes. Tesla reported that its conversion from a Delaware corporation to a Texas corporation was completed after shareholders approved the proposal in June 2024.
How is the 2018 Musk award different from Tesla’s 2025 award?
The restored 2018 award consists of approximately 303.96 million split-adjusted stock options with a $23.34 exercise price. Tesla’s separate 2025 CEO Performance Award consists of 423,743,904 performance-based restricted shares. They are different awards and should not be added together without examining their individual terms.

Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Did moving Tesla to Texas make the Delaware lawsuit disappear?
No. Changing the state of incorporation did not erase pending Delaware litigation or prevent Delaware’s appellate courts from reviewing earlier rulings. The Delaware Supreme Court ultimately decided the appeal involving the 2018 award.
The Bottom Line
Tesla’s 2024 shareholder vote approved both the Texas move and renewed support for Musk’s 2018 award, but the vote alone did not settle the case. The Delaware Supreme Court later reinstated the award, and Tesla’s 2026 filings documented its implementation. The $56 billion label describes a fluctuating equity valuation—not cash already paid to Musk.
