The filings document sales under a prearranged plan, including a May 6, 2025 transaction of 112,395 shares. The widely repeated “$200 million” framing is not a directly comparable figure to every other reported total: Tesla disclosed about $257 million net of option exercise costs for 2024 and 2025 sales, while the Associated Press reported more than $230 million sold since late 2024 as of May 14, 2025.
Who sold Tesla shares?
Robyn Denholm, Tesla’s board chair, sold shares of Tesla common stock. The transactions were reported in SEC ownership filings. These records establish the transactions and relevant plan disclosures; they do not, by themselves, establish Denholm’s personal view of Tesla or its stock.
What do the filings say she sold?
The May 6, 2025 transaction
An SEC Form 4 reports that Denholm sold 112,395 shares on May 6, 2025, at a reported price of $276.26 per share. The filing also reports her resulting share balance. Read the SEC Form 4.
The disclosed plan and broader totals
Tesla’s 2025 filing says a plan adopted July 25, 2024, allowed for potential sales of up to 674,345 shares tied to options set to expire in June 2025. Tesla says that plan was completed on May 6, 2025. It describes approximately $257 million in 2024 and 2025 sales net of option exercise pricing. That is not the same measure as gross sale proceeds. Separately, the Associated Press reported on May 14, 2025, that Denholm had sold more than $230 million since late 2024, with more than half of that cash haul coming in the first four months of 2025. AP said its account drew on filings and FactSet data. Its period estimate should not be treated as interchangeable with Tesla’s net-of-exercise-cost figure. Read the AP report.
Were the sales preplanned?
The December 2024 Form 4 says a transaction was automatically effected under a Rule 10b5-1 trading plan adopted July 25, 2024. The filing describes the plan’s purpose as “the purpose of an orderly liquidation of options scheduled to expire in 2025.” That is wording from the filing, not a verified spoken statement by Denholm. A prearranged schedule is relevant context, but it does not prove why Denholm chose to sell, settle governance criticism, or show that she expected Tesla shares to rise or fall. AP cautioned that such schedules are used to show sales are not necessarily based on inside information or a pessimistic view of the company.
What does the $200 million headline mean?
The available figures describe different scopes and accounting measures, so they should not be collapsed into one supposedly exact total. The individual Form 4 transaction gives a share count and price for one date; AP’s figure covers sales since late 2024 as of May 14, 2025; Tesla’s approximately $257 million figure covers 2024 and 2025 sales after option exercise pricing is deducted. The evidence here does not establish that the headline’s “$200 million” uses the same period or calculation as either broader figure.

The exact Elon Musk statement behind the phrase “not to let go” has not been verified against an original post or contemporaneous transcript. It should not be presented as a confirmed direct quote without that source and context.
