RJ Scaringe’s share of Rivian’s voting power declined after he transferred securities to his former spouse as part of their divorce settlement. TechCrunch reported a fall from 7.6% before the transfer to around 4% afterward. Rivian’s 2026 proxy later put Scaringe and affiliates at approximately 3.8% of voting power as of December 31, 2025. The figures refer to different dates and reporting bases; the transfer did not mean Scaringe lost his CEO role.
What Scaringe transferred
A Form 4 filed with the U.S. Securities and Exchange Commission on July 11, 2025, reports transactions dated July 9. It says the securities were transferred to Scaringe’s former spouse pursuant to a divorce settlement. The filing identifies:
- 3,912,500 Class B shares, which automatically converted to Class A shares upon transfer;
- 88,061 Class A shares; and
- stock options covering 3,642,631 shares at an exercise price of $2.6282, 500,000 shares at $3.3636, and 1,863,133 shares at $21.72.
The filing also states that the former spouse’s securities were no longer beneficially owned by Scaringe. It documents the securities transfer, not the full terms of the divorce settlement; it does not establish other financial arrangements, motives, or custody details. SEC Form 4, filed July 11, 2025.
Why the share class affected voting power
Rivian’s dual-class share structure gave each Class B share ten votes and each Class A share one vote, according to its 2026 proxy. The transferred Class B shares converted to Class A when transferred, so they no longer carried the Class B ten-vote weight. How to read the reported percentages

These figures are not a single official series measuring the same person or moment in exactly the same way: the later proxy figure covers Scaringe and affiliates and gives a specific year-end date, while TechCrunch’s figures describe the period before and after the July transfer. Voting power also differs from the percentage of shares outstanding because the two share classes carried different votes per share. TechCrunch’s July 14, 2025 report.
What changed for Rivian
The reported change was in Scaringe’s share of Rivian’s voting power—not evidence that he stopped serving as CEO or that the company’s operations changed. Rivian told TechCrunch the transfer had no impact on company business or operations. A spokesperson also said: “RJ and Meagan finalized their divorce. They will continue to prioritize co-parenting their children.”

Rivian’s scheduled Class B conversion
Rivian’s 2026 proxy said all outstanding Class B shares were scheduled to convert automatically to Class A in November 2026, on the fifth anniversary of the IPO closing. That statement establishes a scheduled conversion, not by itself that the conversion has since occurred. The proxy’s December 31, 2025 ownership figures therefore describe the structure and holdings as of that date.
