Mazda and Toyota: The Story Behind an Unlikely Relationship

Mazda and Toyota’s relationship is a focused alliance, not a merger: here’s how it began, what each company agreed to do, and what the Huntsville joint venture was planned to build.

Mazda and Toyota are partners, not one company: their 2017 business and capital alliance paired reciprocal minority shareholdings with specific projects in manufacturing, electric-vehicle technology, connected cars, safety, and product supply. The relationship began with a partnership agreement in 2015; its most visible organizational result was a 50/50 joint venture to build vehicles in Huntsville, Alabama.

Why did Mazda and Toyota partner?

The companies presented the alliance as a way for two independent automakers to combine complementary strengths and resources while retaining their separate identities. Toyota’s 2017 announcement described the companies as competitors with a shared enthusiasm for cars; Mazda likewise framed the arrangement as two competitive spirits learning from each other. “Unlikely” is a useful description of the pairing, not evidence that the companies merged or pooled all their engineering.

The relationship began before the widely reported 2017 agreement. On May 13, 2015, Mazda and Toyota agreed to build a continuous partnership. After two years of discussions, they signed a business and capital alliance on August 4, 2017, with five announced areas of cooperation: a U.S. manufacturing joint venture, EV technology, connected-car technology, advanced safety technologies, and complementary products. Toyota and Mazda’s 2017 announcement describes the terms and the companies’ stated intent to preserve independence and equality.

Are Mazda and Toyota owned by the same company?

No. The 2017 agreement involved reciprocal minority shareholdings, not an acquisition. Toyota agreed to buy newly issued Mazda shares for ¥50 billion, representing 5.05% of Mazda after the capital increase. Mazda agreed to buy Toyota treasury shares worth the equivalent amount, representing 0.25% of Toyota. The companies described the investments as reciprocal and said the structure was intended to maintain each company’s independence and equality.

Those investments are distinct from the manufacturing venture. Mazda Toyota Manufacturing, U.S.A. (MTMUS) was established as a separate 50/50 joint venture in 2018. Shared ownership of that venture does not make either automaker a subsidiary of the other.

What did each company get from the alliance?

The alliance was a portfolio of projects rather than a single shared-car program. Its announced workstreams ranged from a concrete U.S. factory plan to broader technology collaboration. The companies also described product supply arrangements that let them complement their lineups without selling identical vehicles under both brands in every market.

The supply example shows the practical logic of the relationship: cooperation could fill a product need in a particular market without requiring a merger or a universal shared model lineup. The original 2017 announcement lists these arrangements alongside the broader projects.

What is Mazda Toyota Manufacturing?

MTMUS is the clearest structural outcome of the alliance. Mazda and Toyota selected Huntsville, Alabama, for the plant in January 2018. Their announcements described a planned investment of $1.6 billion, up to 4,000 jobs, and a target capacity of 300,000 vehicles annually: 150,000 Mazda crossovers and 150,000 Toyota Corollas. These were announcement-era projections, not verified current investment, employment, capacity, or production figures.

The venture was established on March 1, 2018, with equal 50% capital contributions from Mazda and Toyota. Mazda’s announcement at the time expected production to begin in 2021. That expected start date and the planned annual allocation should not be read as a current production report. Mazda’s MTMUS establishment announcement records the ownership structure and original plan.

Which Mazda and Toyota cars are made together?

The cited announcements specify the planned Huntsville output as Mazda crossovers and Toyota Corollas, but they do not establish current models, current production volumes, or a full account of vehicles now built at the plant. The 2017 compact-sedan and commercial-van supply arrangements are separate examples of product cooperation; they do not mean those vehicles were jointly engineered or built at MTMUS.

It is therefore more accurate to describe the alliance as a mix of joint manufacturing, technology collaboration, and selective product supply than to say Mazda and Toyota simply make the same cars together.

What the alliance shows—and what the announcements do not prove

Mazda’s corporate history later characterized the alliance as leading to joint U.S. production and collaboration on connected and EV technologies. It also places the relationship within Mazda’s “Multi-Solution” strategy, which combines combustion engines and electrification according to environmental and customer needs. Mazda’s corporate-history overview provides that framing.

Company announcements are strong evidence of the agreement’s terms, announced plans, chronology, and the companies’ own rationale. They are not an independent scorecard of whether the alliance met its goals. The cited materials do not quantify its cost savings, economic impact, competitiveness gains, or the results of each technology workstream. Toyota’s and Mazda’s executives described their hopes for the partnership, but those statements are aspirations, not proof of outcomes.
