Tesla’s 2025 compensation campaign echoed a central argument it had made during the fight over Elon Musk’s 2018 CEO award: the company said it needed to honor its bargain and retain Musk. But the two campaigns sought different things, and the court history has since changed. The Delaware Supreme Court reinstated the 2018 award in December 2025; Tesla’s 2026 filing says Musk later forfeited the interim award tied to the newer campaign.
What Tesla argued in 2024 and 2025
The phrase “rehashing old threats” is a characterization, not a court finding that Tesla threatened shareholders. The record shows Tesla making arguments about accounting exposure, honoring the 2018 agreement, and the risk of losing Musk’s services. The proposals and their legal context were not identical.

Why Tesla said Musk’s compensation mattered
Tesla’s 2025 annual report says the special committee considered several ways to address Musk’s retention and compensation. Its case was that Tesla should honor the 2018 bargain, make Musk whole for company growth, and reduce the risk that he would leave and damage the company’s relationship with executives. The committee summarized its position with the phrase “a deal is a deal.” That was the committee’s advocacy, not a court holding.
To illustrate the growth at issue, Tesla compared a market capitalization of approximately $53.5 billion in March 2018 with approximately $1.08 trillion on August 29, 2025. The committee described that as more than 20-fold growth in about seven years. These are Tesla’s figures and framing; they do not establish how much of the increase Musk personally caused.

The committee also considered asking shareholders to re-ratify the 2018 award or immediately granting the remaining shares. Tesla’s filing says it saw legal, jurisdictional, disruption, flexibility, and accounting concerns with those options. It described an interim award as reducing—but not eliminating—uncertainty around the 2018 grant.
What the 2024 shareholder vote did—and did not do
Tesla’s April 2024 proxy asked shareholders to ratify the same 2018 grant that the Chancery Court had rescinded. Shareholders voted in favor on June 13, 2024. The vote did not, by itself, undo the court’s ruling: in December 2024, the Chancery Court denied the defendants’ request to revise its decision based on the later vote, treating the vote as subsequent to trial rather than a reason to reopen the record. The 2018 award’s current legal status
The later appellate outcome is distinct from the Chancery Court’s 2024 refusal to revisit its decision. On December 19, 2025, the Delaware Supreme Court reversed the order rescinding Musk’s 2018 award. Tesla’s 2025 Form 10-K says the award was reinstated and that the court awarded $1 in nominal damages. Tesla’s Q1 2026 Form 10-Q says the Chancery Court entered an implementing order on March 18, 2026.
The same Q1 2026 filing says Musk forfeited the 2025 interim award on April 21, 2026, and that Tesla’s board approved an implementation agreement for exercise of the 2018 award. Tesla says the agreement does not add economic benefit, but does add service and holding conditions. These are details reported by Tesla in its filing, not a new shareholder vote.

How to read the “$1 trillion payday” framing
The title’s “$1 trillion” refers to the maximum potential value framed around the 2025 compensation proposal, not cash already paid to Musk. It should not be confused with the 2018 award, which is the subject of the separate litigation described above. Nor does Tesla’s market-cap comparison independently prove that Musk alone created the company’s increase in value.
A separate Delaware Supreme Court decision in 2026 concerned director compensation and a fee calculation and settlement, not Musk’s CEO award. It is a different dispute and does not change the status of the 2018 grant.
