The right solar power purchase agreement (PPA) is the one that fits your facility’s load, tariff, site control, risk tolerance and renewable-energy objectives over the entire contract term—not necessarily the bid with the lowest first-year price. In a typical onsite physical PPA, a third-party developer finances, owns, operates and maintains a photovoltaic system at your property, while your business buys the system’s measured output at an agreed price. You avoid the project’s upfront capital cost and much of its operating responsibility, but accept a long-term purchase commitment and continue buying electricity from the utility when solar does not meet your load.
Choose the structure first, then compare complete, normalized financial models and contract terms. Authorization, interconnection, export compensation, retail choice, incentives and renewable-energy certificate (REC) rules differ by location and utility territory, so a PPA cannot be evaluated independently of the site and the actual draft agreement.

1. Define what the PPA must accomplish
Start by writing down the business outcome you need. An industrial solar contract may be intended to lower electricity cost, hedge against future price changes, support renewable-electricity claims, or achieve several of these goals. Different structures and pricing terms may suit different objectives.
Cost reduction
If reducing the electricity bill is the priority, establish a credible grid-only baseline before reviewing bids. Use actual bills and interval data, the current tariff, demand charges, taxes, riders and fixed utility charges. A solar system can reduce energy purchases without eliminating demand charges or other residual utility costs. Savings must be modeled against the same load, operating schedule and tariff assumptions used for the PPA forecast.

Price stability
A fixed PPA price can provide a hedge, while an escalator shifts the expected price over time. EPA’s general SPPA description says annual escalators are often presented in the 1–5% range, but that is context rather than a market requirement or forecast for your facility. Compare the escalation path with plausible utility-price scenarios rather than assuming utility rates will rise at a particular rate.
Renewable-energy claims
Buying solar electricity does not automatically give your company ownership of the project’s RECs. If environmental claims matter, specify who receives and retires the RECs, for which production years and volumes, and what happens if the project under-produces or the certificates are sold. Claims must match the attributes actually retained or supplied.
2. Confirm that the site is suitable
Before soliciting proposals, assemble the information developers will need and identify constraints that could make a long-term contract impractical.

Include production schedules, seasonal shutdowns, planned electrification, new shifts and expected expansion.
- Tariff: document energy prices by period, demand-charge rules, time-of-use periods, minimum bills, standby charges, export credits and any special industrial riders.
- Physical area: identify usable roof or land, shading, structural condition, drainage, fire access, setbacks, security and construction access. A preliminary screening is not a structural or electrical design.
- Occupancy and control: confirm how long the business expects to occupy the site and whether it owns the property. A leased facility requires coordination among the tenant, landlord, lender and developer.
- Operations and safety: account for crane access, hazardous areas, process interruptions, roof warranties, maintenance windows and emergency-response requirements.
The PPA term must fit the site’s expected operating life and any lease. If a roof may need replacement, a building may be sold or a production line may move, those events belong in the feasibility analysis before bids are compared.
3. Choose the physical or financial structure
“Solar PPA” can describe materially different arrangements. Confirm what is delivered, where it is delivered and how settlement works before comparing prices.
| Structure | How electricity is delivered | Effect on the industrial site | Issues to verify |
|---|---|---|---|
| Onsite physical PPA | Solar generation is located behind the site meter and the customer pays for measured production. | Solar can reduce utility energy purchases; the utility remains responsible for unmet load, and export treatment depends on local policy. | Interconnection, roof or land rights, production meter, export compensation, demand charges, REC ownership and site-access terms. |
| Offsite physical PPA | Power from a project elsewhere is delivered through the grid where the market and grid rules permit. | The facility’s physical meter and utility bill may not change in the same way as with onsite generation. | Market eligibility, transmission and delivery arrangements, scheduling, congestion or basis exposure, utility supply rules and REC transfer. |
| Financial or virtual PPA | No physical delivery to the customer is required; a financial settlement is tied to a project’s output and an agreed reference price. | The facility continues its ordinary physical utility supply while the contract creates a separate financial exposure. | Settlement formula, reference-market volatility, credit support, accounting treatment, project RECs and termination exposure. |
Do not assume an offsite or virtual arrangement is interchangeable with onsite supply. Local authorization, retail-market design and interconnection requirements determine whether a structure is available and how it works.

4. Build a comparable economic model
Require every bidder to use a common data sheet and to disclose assumptions. A headline rate is not a complete offer.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →Normalize the price
Record the initial energy price, whether it is fixed or escalates, the escalation dates, the billing unit, invoice timing, taxes and fees, and any fixed, minimum or capacity-related payment. State whether the quoted price applies to all metered production or only energy consumed onsite.
Model production and consumption
Ask for the modeled annual generation, monthly or hourly production profile, degradation assumption, losses, availability assumption and commercial-operation date. Compare output with the site’s interval load to determine how much production is self-consumed and how much is exported. The utility’s treatment of exports can materially change the result.
Include the utility bill that remains
The PPA does not replace the utility relationship. Your model should separately show imported energy, demand charges, fixed charges, taxes, riders, standby charges and export credits. A proposal that shows only the solar payment can obscure a substantial residual bill.
Compare against a credible baseline
Calculate the projected total cost under the PPA and under continued grid service using identical load, tariff, inflation and operating assumptions. Show, by year and over the full term:

- the value and ownership of RECs; and
- termination, buyout or removal payments in relevant scenarios.
Stress-test the result
Run low-, central- and high-output cases; alternative utility-price paths; changes in production hours; reduced occupancy; major expansion; prolonged outages; and different export values. The general sources do not establish a guaranteed savings percentage, and no site-specific savings can be inferred without location, tariff, load and contract data.

5. Understand term, escalators and credit requirements
EPA’s general descriptions give examples ranging from six to 25 years, while a separate customer-PPA overview describes onsite durations as typically 15–20 years. These are broad descriptions, not universal requirements or current-market benchmarks. Your term should reflect the project’s financing, the facility’s expected occupancy and the value you receive.
Longer terms can support project financing and may produce a lower opening price, but they increase exposure to changes in production, tariffs, ownership and business plans. Ask how the price changes, when it changes and whether the escalator applies during outages or periods of reduced output. Review credit-support requirements, parent guarantees, letters of credit, security deposits and financial covenants for both parties.
6. Allocate construction and operating risk
Although a third-party provider generally coordinates financing, design, permitting and construction, the agreement—not a general description—controls responsibility and remedies. Make the following items explicit.

- Who obtains permits, utility approvals and environmental or building clearances?
- Who pays for interconnection studies, network upgrades, transformer work and utility deposits?
- What are the notice-to-proceed, substantial-completion and commercial-operation milestones?
- What happens if authorization or interconnection takes longer than expected?
Testing and acceptance
Define the tests that establish commercial operation, the production meter and data source, meter accuracy, commissioning procedures and the customer’s inspection or acceptance rights. Include a process for correcting faulty meters and reconciling disputed invoices.
Performance and maintenance
Specify availability, production or performance commitments, planned-maintenance notices, response times, spare parts, vegetation control, snow or debris management where relevant, and repair obligations. State how under-delivery is measured and what service credits, replacement energy, damages or termination rights apply. Do not assume that provider ownership by itself guarantees a remedy.
Insurance, safety and access
Allocate property, general liability, workers’ compensation, cyber and business-interruption coverage. Set rules for site access, escorts, lockout/tagout, confined spaces, hazardous production areas, emergency shutdowns and coordination with your maintenance team. Confirm who is liable for roof damage, water intrusion, fire, contamination and third-party injury.

7. Negotiate site-change and exit provisions before signing
Industrial sites change. A PPA that works for today’s roof and production plan can become a liability if the facility is sold, expanded or relocated. Review these provisions with facilities, legal, finance and the landlord.

Sale, assignment and change of control
Determine whether the agreement can be assigned to a purchaser, what consent standard applies, and whether a sale triggers a buyout or termination payment. Check lender step-in rights, refinancing provisions and the provider’s ability to transfer the project to another owner.
Roof repair, replacement and expansion
State who pays to remove and reinstall equipment for roof work, how much notice is required, how lost production is treated, and whether a planned expansion can connect to or replace part of the system. Address temporary outages and restoration standards.
Default, cure and termination
Identify payment and performance defaults, notice requirements, cure periods, insolvency events, force majeure, casualty and prolonged outage rights. Require a transparent formula for any early-termination payment and test it in the financial model. Avoid assuming a universal end-of-term buyout; options such as renewal, purchase at fair market value, removal or restoration exist only if expressly included.
End of term
Specify whether the system is removed, transferred, renewed or purchased; who pays removal and disposal costs; the condition in which the roof or land must be returned; and how final meter readings, invoices and RECs are handled.

- the party that owns the project’s RECs;
- whether certificates are transferred to you or retired on your behalf;
- the production years, volumes and tracking system involved;
- the treatment of RECs during under-production, curtailment or replacement;
- whether the provider may sell, retire or substitute certificates; and
- the evidence and reports you receive for corporate disclosures.
EPA guidance indicates that a customer needs the associated project RECs to claim use of green power from that project. A contract can convey electricity while leaving the environmental attributes with another party, so align marketing, reporting and procurement claims with the rights actually retained.
9. Run a disciplined request for proposals
EPA identifies an RFP as a common way to obtain competitive PPA bids and provides resources on scope, proposal requirements, evaluation criteria and contract development. Give each bidder the same information and require a response in a common format.
Include these RFP inputs
- site address, ownership or lease status and access rules;
- 12 months or more of bills plus interval load data;
- tariffs, demand charges and export arrangements;
- roof, land, structural and shading information;
- operating schedules, planned expansions and electrification;
- desired commercial-operation date and term limits;
- renewable-claim objectives and REC requirements; and
- required insurance, safety, security and construction standards.
Require these bid outputs
- system size, design assumptions and expected production by period;
- price, escalator, billing rules and all fixed or pass-through charges;
- utility-import and export treatment;
- interconnection and permitting schedule;
- availability, degradation, warranty and maintenance commitments;
- REC ownership, delivery and replacement provisions;
- credit-support requirements;
- termination, buyout, assignment, removal and restoration terms; and
- a redline or term sheet identifying deviations from your form agreement.
Use a cross-functional evaluation team
Facilities and engineering should review constructability and operations; energy procurement should test tariffs and settlement; finance should review cash flows and credit; legal should review liability, remedies and transfer rights; tax and accounting specialists should assess the proposed treatment; sustainability staff should verify REC claims; and the landlord or site owner should approve access and property terms. Qualified legal, engineering and tax advisers should review the final model and agreement.
10. Use a weighted decision matrix
Rank proposals on the factors that matter to your facility instead of letting the opening rate decide the outcome. A practical matrix can include:
| Category | Questions |
|---|---|
| Site and technical fit | Does the design fit the roof or land, safety rules, load profile and planned changes? |
| Delivered economics | What is the full-term cost after utility charges, exports, fees, escalators and realistic output cases? |
| Risk allocation | Who bears permitting, interconnection, construction delay, under-performance, casualty and repair risk? |
| Contract flexibility | Can the agreement accommodate a sale, roof work, expansion, relocation or reduced operations? |
| Environmental attributes | Do REC ownership, retirement and replacement rights support the intended claims? |
| Counterparty strength | Are the provider, guarantors, insurers and lenders acceptable for a long-term obligation? |
| Execution quality | Are milestones, meters, invoices, reporting, maintenance and remedies precise? |
Keep a written record of assumptions and request clarification where bids use different production, tariff, degradation or export conventions. A slightly higher opening price may be preferable if it comes with clearer performance remedies, better transfer rights or more valuable REC treatment; quantify those differences rather than relying on labels.
11. Common mistakes and how to avoid them
- Choosing the lowest first-year rate: compare full-term modeled cost, escalators and residual utility charges.
- Ignoring demand charges: solar energy production does not necessarily reduce a facility’s billed peak demand.
- Assuming all output is consumed onsite: model hourly production, load and export compensation.
- Treating a general term range as a requirement: six-to-25-year examples and 15–20-year typical onsite descriptions are context, not guarantees.
- Assuming the provider bears every risk: verify remedies for delay, under-production, outages, roof damage and safety incidents.
- Leaving RECs silent: electricity and environmental attributes can be separated.
- Forgetting the landlord: a tenant needs compatible lease, access, mortgage and restoration rights.
- Relying on a generic model: site-specific answers require location, tariff, interconnection, load, incentives, credit and the actual draft.
12. A practical approval checklist
- Document cost, hedge, renewable-claim and operational objectives.
- Collect bills, interval data, tariffs, operating schedules and expansion plans.
- Confirm roof or land control, structural condition, access and lease duration.
- Determine which physical or financial PPA structures are legally and technically available in the utility territory.
- Issue a common RFP with required pricing, production, schedule, REC and contract information.
- Normalize bids against one load, tariff and grid-only baseline.
- Stress-test output, utility prices, exports, outages, occupancy and site changes.
- Negotiate milestones, meters, performance remedies, insurance, access and maintenance.
- Resolve sale, assignment, roof work, expansion, termination, removal and restoration terms.
- Put REC ownership, retirement, replacement and evidence requirements in the contract.
- Obtain legal, engineering, tax, accounting, finance and landlord approvals before execution.
Frequently Asked Questions
Does a solar PPA eliminate an industrial facility’s utility bill?
No. The utility generally continues serving demand that the solar system does not meet, and the facility may still incur demand charges, fixed charges, taxes and other tariff costs. Export compensation also depends on local policy.
Who owns the solar RECs in an onsite PPA?
The contract decides. Do not assume the customer receives RECs merely because it buys solar electricity; specify ownership, retirement, replacement and reporting rights.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteCan an industrial site end a rooftop PPA when it is sold or the roof is replaced?
Only if the agreement provides a workable assignment, removal, relocation, buyout or termination mechanism. Review those clauses before signing and coordinate them with the property lease and financing rights.
