A promising vehicle does not make the company’s shares or private offering attractive, and a credible business plan does not prove that its vehicle is ready for daily use.
Use primary documents, insist on written answers and record what is demonstrated versus projected. If a company cannot identify the responsible legal entity, applicable vehicle-compliance evidence, warranty administrator, service process or use of investor funds, stop before paying a deposit or investing.

Start by separating the customer decision from the investment decision
The two decisions involve different evidence and different failure modes. A customer is buying transportation and a long-term service obligation. An investor is buying a security whose value depends on the company’s future financing, execution and exit prospects. Analyze them independently, even when the same startup is involved.
| Customer diligence | Investor diligence |
|---|---|
| Compliance for the exact vehicle and sales jurisdiction | Security type, offering exemption, filings and investor rights |
| Delivery status and production evidence | Financial statements, review or audit status and cash needs |
| Vehicle and battery warranty, exclusions and responsible entity | Offering price, valuation basis, dilution and related-party terms |
| Service locations, repair process, parts and recall response | Management, customer or supplier concentration and evidence for claims |
| Total ownership proposition versus available alternatives | Transfer restrictions, holding period, liquidity and total-loss risk |
These are investigation axes, not a universal score. Compare like with like, identify the jurisdiction and edition of every document, and label every number as historical, current, projected, promotional or conditional.

Customer diligence: prove the vehicle is ready for your use
Identify the exact vehicle, legal seller and sales territory
Record the model, trim, battery configuration, model year, software version, intended delivery country or state, seller of record and manufacturer of record. Ask whether the startup is the manufacturer, an importer, a distributor or a licensing partner. Your contract should name the entity that owes delivery, warranty and refund obligations; a brand name alone is not enough.
Requirements differ by vehicle class and jurisdiction. A vehicle approved for one market may not be legal to sell or register in another. Ask which regulator or authority applies, which standards are applicable, and whether the vehicle is being sold, leased, demonstrated or supplied under a limited exemption.
Request compliance evidence for the specific vehicle
In the United States, a manufacturer generally demonstrates compliance with applicable Federal Motor Vehicle Safety Standards through certification and must meet consumer-information, owner’s-manual, reporting and other obligations. A 2025 Form 10-K from Rivian illustrates the breadth of these duties, including self-certification, safety reporting and battery-transport requirements. That filing is an example of issues to verify, not proof that another startup complies.
Ask for the vehicle identification information and the documents that apply to your configuration and market:
- Applicable safety-standard certification or equivalent jurisdictional approval.
- Required labels, consumer information and owner’s manual.
- Registration or import pathway, including who handles taxes and title paperwork.
- Battery shipping and transport compliance documentation.
- Recall, defect-reporting and software-update responsibility.
Do not accept a statement such as compliant, certified or road legal without the standard, authority, vehicle scope and date. If the company says approval is pending, treat the vehicle as unavailable for normal customer reliance until the approval and registration path are documented.
Verify production and delivery status
Separate a functioning prototype from a production vehicle. Request the production location, supplier status, build stage, quality-control process, delivery sequence and realistic date range. Ask how many customer vehicles have been completed, not merely displayed, and whether those vehicles match the advertised battery, software and safety configuration.
Get delivery terms in writing: deposit amount, refund conditions, estimated and latest delivery dates, shipping responsibility, inspection rights, acceptance procedure and remedies for delay. A reservation list, demonstration drive or factory photograph does not establish production capacity. If the company will not provide a latest delivery date or refuses to state what happens when it misses one, the financial and practical risk remains with you.

Read the vehicle and battery warranty line by line
Obtain the complete warranty before paying. Identify the warrantor, start date, duration, mileage or usage limits, covered components, battery-capacity threshold, exclusions, geographic scope, transferability and claim procedure. Confirm whether roadside assistance, towing, software support and corrosion coverage are separate promises.
Battery language deserves special attention. A capacity guarantee may use a state-of-health measurement, a minimum percentage, a test procedure and exclusions for misuse, storage or extreme conditions. Ask who measures degradation, whether the test is repeatable at an independent facility and whether replacement is new, refurbished or prorated.
Determine who remains responsible if the startup changes suppliers, stops trading, sells the vehicle program or enters insolvency. A warranty that exists only as an unsecured promise from a thinly capitalized entity may have little practical value. Ask whether a reserve, insurance policy or third-party administrator backs any portion of the obligation; do not assume that a reserve is funded merely because the contract mentions one.
Test the service, repair and parts plan
Before purchase, obtain a map of service locations that can work on your exact model and high-voltage system. Ask whether repairs are performed by the startup, a contracted network or independent shops, and who pays labor, diagnosis, towing and software reprogramming under warranty.

A usable answer names the intake channel, response target, tow provider, loaner or mobility policy, escalation contact and expected parts lead time. Ask which parts are stocked locally, which are made to order, and how long the company commits to supporting discontinued components.
Manufacturer filings, including VinFast’s 2025 Form 20-F, discuss warranty reserves, defects, recalls and the possibility that claims and service costs exceed expectations. Those disclosures identify risks common to vehicle manufacturers; they do not establish that a particular startup has failed. Use them to formulate questions about the startup’s reserve assumptions, technician training and repair capacity.
Evaluate software, charging and ownership dependencies
List every function that depends on a server, mobile application, subscription or company account. Ask what remains usable if the company’s servers are unavailable, the app is discontinued or an over-the-air update fails. Confirm charging compatibility for the locations you actually use, supplied-cable specifications, maximum charging rates, thermal limits and warranty treatment for charging-related damage.

Compare total ownership, not just the launch price
Build a five-year ownership worksheet using documented figures: purchase or lease payments, insurance, registration, energy, scheduled maintenance, tires, connectivity, expected depreciation, home-charging installation and likely out-of-warranty repairs. Mark every startup estimate as a projection. Compare the result with established alternatives that meet the same use case, range, payload and climate requirements.
Stress-test the plan for a delayed delivery, a battery replacement outside warranty, a month without the vehicle while waiting for parts and a 20 percent increase in electricity or insurance costs. If the vehicle is essential for work or family travel, price a backup option rather than assuming the startup’s support network will operate at launch scale.
Investor diligence: understand what you are actually buying
Identify the security and legal offering
Start with the instrument: common stock, preferred stock, convertible note, SAFE-like contract, revenue interest, debt or another claim. The name on a pitch deck is not enough. Read the subscription agreement, term sheet, charter or equivalent governing document, investor rights, conversion mechanics, liquidation preference, voting rights, information rights and fee schedule.
Confirm the exemption or registration pathway, issuer identity, intermediary and permitted investor category. For a private placement, ask what disclosure is supplied and what ongoing reporting is promised. Private securities can be illiquid, difficult to value and subject to limited disclosure. The SEC Office of Investor Education and Advocacy’s Private Placements under Regulation D investor bulletin, dated August 17, 2022, advises investors to assess financial information, management, use of proceeds, claims, competitors and transfer restrictions. It warns that an investor should be able to afford the increased risk of loss, including the potential of a total loss.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Read filings and financial statements instead of relying on the pitch
Obtain the latest filing, offering memorandum and financial statements, then reconcile them to the presentation. Identify the accounting basis, period covered, cash balance, debt, burn rate, revenue, gross margin, capitalized development costs and contingent liabilities. Note whether statements are audited, reviewed or unaudited, by whom and for which periods.
Calculate how long existing cash lasts under the company’s stated plan, then model a slower vehicle launch, lower production volume and higher warranty expense. Look for going-concern language, overdue payables, related-party loans, liens on intellectual property or equipment and dependence on a single supplier or customer. A forecast is not evidence of performance; require historical results or contracts supporting material assumptions.

Trace the use of proceeds
Build a dollar-by-dollar map of the proposed raise: tooling, inventory, engineering, certification, factories, service centers, marketing, debt repayment, salaries and working capital. Ask what happens if the raise is smaller than planned, and whether the company can change the allocation without investor consent.
Compare the stated runway with the milestones required to reach the next financing or commercial delivery. If the plan requires repeated capital raises, identify the likely timing, dilution and dependency on market conditions. A company can have a good product and still impose poor financing outcomes on early investors.
Investigate management, ownership and related parties
Check the backgrounds of directors and senior officers, including prior vehicle launches, safety or regulatory experience, insolvencies and roles at related entities. Ask who controls voting power, which investors have veto or board rights, and whether founders can sell shares or receive special compensation.
Read related-party disclosures for leases, consulting fees, supplier contracts, loans, intellectual-property licenses and family or affiliate relationships. Determine whether transactions use market terms and receive independent approval. Concentrated control is not automatically wrong, but it changes your ability to challenge decisions.
Test operating claims and customer evidence
For each claim—orders, reservations, range, production rate, fleet contracts, charging partnerships or cost per vehicle—ask for its definition, date, geography, cancellation rate and supporting document. Distinguish refundable reservations from binding orders and pilot memoranda from purchase contracts.
Ask how many vehicles are delivered and operating, their warranty-claim rate, average repair time, return rate and software-incident history. If the company will not disclose a metric, record that absence rather than substituting a marketing number. A public manufacturer’s risk filing can help you build a question list, but it cannot validate a startup’s projections.
Analyze valuation, dilution and downside terms
Calculate the implied valuation from the price, number of securities and fully diluted capitalization. Include options, warrants, convertibles, unissued equity pools and securities that convert at a discount. For preferred securities, model liquidation preference, participation, dividends and anti-dilution provisions in a sale at several values, including below the latest valuation.

Ask whether the company has recently raised money at a lower price, granted insider discounts or issued debt senior to your security. Determine what future rounds could do to your ownership percentage and voting power. A high headline valuation does not protect an investor if the company needs more capital before reaching sustainable production.
Assess liquidity and the possibility of total loss
Find the transfer restrictions, holding-period limits, company repurchase rights and any trading venue. Assume that you may not be able to sell when you want. Private offerings may have no active market and limited information for a later buyer.
Decide in advance how much of your investable assets you can lose without affecting housing, emergency savings or essential expenses. Diversification matters because a vehicle startup faces technology, manufacturing, regulatory, supply-chain and financing risks simultaneously. Do not treat a crowdfunding portal, a polished valuation page or an SEC filing as an endorsement of the investment.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsRegulation Crowdfunding: what Form C does and does not tell you
Regulation Crowdfunding transactions must occur online through an SEC-registered broker-dealer or funding portal. The intermediary requirement provides a regulated channel; it does not mean the SEC approved the issuer, verified its projections or endorsed the investment.
The SEC’s Regulation Crowdfunding guidance for issuers describes Form C disclosures covering the issuer and business, offering terms, use of proceeds, related-party transactions, financial condition and risk factors. Financial-statement requirements vary by offering amount and issuer history. The SEC guidance currently displays thresholds of $124,000, $618,000 and $1,235,000; these are regulatory thresholds, not EV-market statistics, and rules can change. Verify the current rule and the actual filing at the time you invest.
| What to inspect in a Form C offering | Question to answer |
|---|---|
| Issuer and business | Which legal entity receives the money, and what exactly does it sell? |
| Offering terms | What security, price, minimum, deadline and investor rights apply? |
| Use of proceeds | What milestones will the money fund, and what if the target is missed? |
| Financial condition | How much cash, debt, revenue and operating loss exist at the stated date? |
| Financial-statement level | Are statements audited, reviewed or unaudited under the applicable tier? |
| Related parties and risks | Who benefits from contracts, and which assumptions could cause failure? |
Do not infer that a lower offering tier means lower risk. It may simply require less extensive financial information. Read the filing, attachments, amendments and intermediary disclosures together.
A practical diligence workflow
Customer workflow
- Define your use case. Write the required range in your climate, passenger and cargo needs, charging access, towing or terrain requirements and acceptable downtime.
- Identify the exact configuration. Record model, trim, battery, software, seller, manufacturer and delivery jurisdiction.
- Collect primary documents. Obtain compliance evidence, owner’s manual, purchase or lease contract, warranty, privacy terms and delivery policy.
- Verify support. Call a named service location, ask whether it can repair your configuration, and obtain parts and escalation procedures in writing.
- Inspect or test a representative vehicle. Check fit, finish, software, charging behavior, documentation and warning messages; confirm that the tested vehicle matches the promised production specification.
- Stress-test the ownership plan. Price delayed delivery, repair downtime, battery degradation and subscription changes.
- Set a go/no-go gate. Proceed only when legal sale, delivery responsibility, warranty enforceability and service access are documented.
Investor workflow
- Verify the issuer. Match the legal entity, jurisdiction, directors, bank or escrow instructions and ownership table across every document.
- Read the security documents. Model conversion, liquidation, voting, information, transfer and seniority terms before considering the price.
- Reconcile financials. Tie cash, debt, revenue, burn and headcount to filings and statements; note audit or review status.
- Challenge the operating plan. Request evidence for production, orders, margins, certification, suppliers, service capacity and warranty reserves.
- Model financing needs. Estimate capital required to reach the next milestone and the dilution or senior claims that could follow.
- Check conflicts and control. Review related-party transactions, founder control, insider sales and board rights.
- Assess liquidity and loss capacity. Assume a long holding period and total loss; invest only an amount consistent with that scenario.
Red flags that should pause the decision
- The company uses compliant, certified or road legal without naming the standard, authority, vehicle scope or date.
- A reservation deposit is described as refundable verbally but the contract says otherwise.
- The warranty omits the responsible entity, battery test method, exclusions or claim process.
- No service location can confirm capability for the vehicle, or parts are promised without lead-time commitments.
- Delivery dates change repeatedly without a latest date, refund right or explanation of production stage.
- Operating figures combine reservations, expressions of interest and delivered vehicles.
- Financial statements are unavailable, stale or presented without their audit or review status.
- Use of proceeds is broad enough to permit almost any spending, including repayment to insiders.
- Management refuses to identify related-party transactions, senior debt or ownership dilution.
- The offering relies on urgency, guaranteed returns or an implication that SEC filing equals approval.
- Essential software or charging functions depend on an unsupported server, subscription or proprietary component.
How to document evidence and make the final call
Create a dated diligence file with the contract, warranty, compliance documents, service responses, offering materials, filings, financial statements and every written answer. For each material claim, record whether it is demonstrated, contractually promised, independently corroborated, management-projected or unanswered. Preserve the version and date because terms can change between a reservation and delivery or between an initial offering and an amendment.
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Use separate conclusions. A customer conclusion should state whether the exact vehicle can be legally registered, delivered on acceptable terms and supported within your tolerance for downtime. An investor conclusion should state what security you receive, how much capital the company needs, what your rights are, how you could lose money and whether you can hold indefinitely. Do not let enthusiasm about engineering substitute for missing evidence in either conclusion.
When a material question remains unanswered, the appropriate action is usually to delay the purchase or investment, not to fill the gap with an optimistic assumption. Revisit the decision only after the company supplies the document, contract amendment, service commitment or financial disclosure that resolves it.
