Fisker Inc. filed for Chapter 11 bankruptcy in June 2024 after the Ocean SUV’s launch failed to translate into a sustainable business. The record documents a software recall, the company’s ambitious public claims and the end of its manufacturing agreement with Magna. It does not establish that founder Henrik Fisker’s personal promises caused the collapse: the sustainability claim often cited in this context came from an unnamed company spokesperson, not Fisker himself.
Why did Fisker go bankrupt?
Fisker’s bankruptcy was the outcome of a failed business, but the available filings and notices do not provide a complete, adjudicated explanation of every cause. They do show a company that publicly celebrated bringing the Ocean to market while dealing with a broad software non-compliance recall and, later, a terminated manufacturing agreement during bankruptcy proceedings.
Those facts help explain the gap between Fisker’s public framing and its business outcome. They do not prove that any one promise, product issue or executive decision caused the failure.
What the company said
In its June 17, 2024 Chapter 11 announcement, Fisker said it had made “incredible progress” and quoted an unnamed spokesperson describing the Ocean as delivered “twice as fast as expected in the auto industry” and saying the company had made “good on our promises to deliver the most sustainable vehicle in the world.” The statement is evidence of the company’s own framing, not independent verification of its speed or sustainability claims. What the filings and notices establish
The contemporaneous record establishes the bankruptcy dates, a recall affecting all 2023 Ocean vehicles for the U.S. and Canadian markets, and Magna’s later disclosure that the manufacturing agreement was terminated during the bankruptcy proceedings. These are documented events; they are not, individually or collectively, a court’s finding about the precise cause of Fisker’s failure.

What the Ocean recall tells us—and what it doesn’t
Fisker’s May 30, 2024 notice said all 2023 Ocean vehicles for the U.S. and Canadian markets were affected by a software non-compliance recall. The notice listed 6,864 U.S. vehicles and 281 Canadian vehicles, and imposed a stop-sale on vehicles that had not been updated to Software 2.1. It said a repair solution was under development at the time; that wording describes the notice’s status in May 2024, not the current repair status.

What the bankruptcy figures mean
The Associated Press reported that Fisker’s filing estimated assets of $500 million to $1 billion and liabilities of $100 million to $500 million. These were ranges stated at filing, not final liquidation values or a settled accounting of what creditors recovered. (Associated Press, June 2024)

Magna’s later SEC-filed disclosure adds a separate measure of the breakdown in the manufacturing relationship: after the Ocean manufacturing agreement was terminated during the bankruptcy proceedings, Magna recognized $196 million in deferred revenue. The evidence supports a narrower conclusion than the title’s causal wording. Fisker publicly made ambitious claims about the Ocean and its sustainability, while the company later entered Chapter 11 amid documented product and manufacturing difficulties. But the reviewed record does not establish that Henrik Fisker personally made the quoted sustainability promise, or that his promises caused the bankruptcy.

The SEC investigation’s closure does not settle that question. TechCrunch reported in February 2026 that the SEC closed its investigation in September 2025 after the outlet learned of the closure through a FOIA response. The report said it was unclear how far the investigation had progressed; closure is not a published finding that wrongdoing occurred, that claims were false, or that the claims were vindicated. So the defensible account is that Fisker’s public confidence collided with a troubled business outcome. The available evidence documents the filings, recall and manufacturing agreement termination, but does not prove that the founder’s promises were the cause of the collapse.
