Geely completed its acquisition of Zeekr on December 22, 2025. The transaction began with a May proposal amid U.S.-China trade tensions, but the available reporting does not establish that those tensions caused the deal. Geely publicly described the move as part of a strategy to integrate its automotive businesses and compete more effectively.
What happened to Zeekr?
Zeekr is now a privately held, indirect wholly owned subsidiary of Geely. Geely announced completion on December 22, 2025. The deal had been approved by Zeekr shareholders on September 15, but Geely said conditions to closing were still outstanding at that stage; approval and completion were separate milestones.
How the offer changed
Geely’s May proposal was preliminary and non-binding. Zeekr’s May 8 announcement said no decision had been made and there was no assurance that a definitive agreement would be signed or the transaction completed. The parties signed a merger agreement on July 15 with a higher cash alternative; the stock exchange ratio did not change.

The final alternatives were subject to the merger terms, including applicable withholding and other conditions. The cash and stock elections were not necessarily economically equivalent, and the stated terms do not mean every holder received cash.

Why did Geely want to take Zeekr private?
Geely’s public rationale focused on integrating its automotive businesses, improving synergies and competing more effectively. Reuters reported that chairman Li Shufu linked continued integration to the company’s “Taizhou Declaration,” which emphasized synergies and reducing internal competition. Reuters also situated the move in the context of cost-streamlining amid a severe price war in China’s auto market.
Geely’s proxy materials also document considerations in the special committee process, including Geely’s majority ownership, operational interdependence, the outcome of a market check, and the disclosure and compliance burdens associated with remaining public.

Was the deal caused by the U.S.-China trade war?
The May proposal came amid heightened U.S.-China trade tensions and questions about Chinese companies’ U.S. listings. TechCrunch reported on that context and raised geopolitical awkwardness as a possible factor. That is context, not evidence that trade tensions caused Geely’s decision. The public rationale attributed to Geely emphasized business integration and competitiveness, so it would be too strong to say tariffs or the trade war forced Zeekr’s delisting.

Timeline: proposal, approval and closing
- May 7, 2025: Geely sent Zeekr a preliminary, non-binding proposal to acquire shares it did not already own, offering US$25.66 per ADS in cash or 12.3 Geely shares per ADS.
- July 15, 2025: Geely, Zeekr and Geely subsidiary Keystone Mergersub signed the merger agreement, setting the cash alternative at US$26.87 per ADS while retaining the 12.3-share alternative.
- September 15, 2025: Zeekr shareholders approved the merger; closing conditions remained outstanding.
- December 22, 2025: Geely announced the transaction had closed and Zeekr had become its privately held, indirect wholly owned subsidiary.
