That is the latest disclosed development in the investigation—not a finding that the company or executives were exonerated. The letters expressly said a later action remained possible.
What happened in the SEC investigation?
Faraday Future disclosed in a March 23, 2026 Form 8-K that the SEC Division of Enforcement had sent letters dated March 18 to the company, YT Jia and Jerry Wang. The letters said staff did not intend to recommend an enforcement action based on the information available to the Division as of that date. The company also described the letters in a March 22 press release.

The letters followed Wells Notices issued to Wang on June 27, 2025, and Jia on June 30, 2025, according to the company’s Form 10-Q for the quarter ended March 31, 2026. The notices reflected a preliminary staff determination to recommend an action against the two executives individually. The company said both submitted responses in September 2025 explaining why they believed an action was unwarranted.
What conduct was under scrutiny?
The company’s filing says the potential violations concerned purportedly false or misleading statements related to the company’s 2021 private investment in public equity (PIPE) financing and SPAC listing. The stated subjects included related-party transactions and Jia’s role. These were allegations under consideration, not findings that the statements were false or that a violation occurred.

TechCrunch reported in July 2025 that the SEC investigation followed concerns raised after the July 2021 public listing and that subpoenas followed an independent board inquiry in 2022. Those additional timeline details are TechCrunch’s reporting, not SEC findings. Faraday Future’s March 2026 release says an independent director from the SPAC merger counterparty began an investigation in October 2021.
What is a Wells Notice?
A Wells Notice is a preliminary step in an SEC enforcement process. Faraday Future’s filing explains that it communicates SEC staff’s preliminary determination to recommend that the Commission bring a civil enforcement action or administrative proceeding. It is not a filed charge, a final Commission decision or a determination that the recipient broke the law.

If the Commission were to pursue an action, the company’s 2025 filing listed potential remedies including an injunction or cease-and-desist order, civil penalties, disgorgement, other equitable relief, or an officer-and-director bar. Those were possible outcomes described at the Wells Notice stage; the filing does not say any were imposed. The March 2026 letters represent the latest disclosed staff position.
Did the SEC clear Faraday Future?
No. The precise conclusion is narrower: SEC enforcement staff said it did not intend to recommend an action, based on information available as of March 18, 2026. In the language quoted in Faraday Future’s filing, the letter “must in no way be construed as indicating that the party has been exonerated or that no action may ultimately result from the staff’s investigation.”

The disclosed position is therefore not equivalent to exoneration, a dismissal of filed charges or a guarantee that no later action can occur. The company’s filings establish the staff’s stated intent at that time; they do not establish a final finding on the underlying allegations.
