The disclosure came as Tesla was promoting a proposed, milestone-based CEO compensation award. The timing is documented; Musk’s personal reason for buying the shares is not.
What Musk bought and when
The Associated Press reported on September 15, 2025, that Musk had bought more than 2.5 million Tesla shares for approximately $1 billion. The transactions took place on Friday, September 12, at varying prices, according to the filing described by the AP. The Business Times reported that the shares were purchased indirectly through a revocable trust.
The disclosure drew attention because it coincided with Tesla chair Robyn Denholm publicly discussing the proposed compensation award. That sequence does not establish that Musk bought the shares in response to the proposal or to signal support for it.
Why the purchase was linked to Tesla’s pay proposal
Tesla was promoting its proposed 2025 CEO Performance Award around the time of the purchase. The plan was conditional: Musk would have to meet operational, financial and market-capitalization milestones to earn the share awards. The AP described 12 separate packages and said the award could represent shares worth as much as 12% of Tesla if its targets were met.

The AP characterized the package’s potential value as around $1 trillion. That was an estimate of the possible value of a conditional equity award—not cash paid to Musk when he bought the shares, nor a guaranteed payout. The proposal’s market-capitalization milestones began at $2 trillion and then rose in $500 billion increments across 12 tranches, according to an October 2025 shareholder solicitation filed by the New York City Comptroller and co-signatories.
The board’s retention rationale and opponents’ governance concerns were different sides of the proposal debate. Tesla chair Robyn Denholm said in a September 12 Bloomberg Television interview, as quoted by The Business Times: “What he does from a personal perspective, in terms of his political motivations, is up to him.” The comment does not identify Musk’s motive for the stock purchase.

What opponents said about the proposed award
In an October 2, 2025 solicitation, the New York City Comptroller and other signatories urged shareholders to vote against the 2025 CEO Performance Award. The coalition described the proposed award as an estimated $1 trillion and argued that it raised concerns about board discretion, potential dilution and Musk’s increased voting power. Those are the coalition’s objections, not findings established by the solicitation itself.
The scale of the estimated award should not obscure the difference between a conditional share-based incentive and a stock purchase. Musk’s reported purchase was a completed transaction; the proposed award depended on future milestones and shareholder and corporate processes.

What happened to the awards after the 2025 proposal
Later developments involving other Tesla awards should not be mistaken for the 2025 proposal’s terms. In its quarterly report for the period ended March 31, 2026, Tesla said the Delaware Supreme Court reinstated Musk’s 2018 CEO Performance Award on December 19, 2025, and that the Chancery Court implemented the reversal on March 18, 2026. Tesla also said Musk exercised the 2018 award in full on April 21, 2026, triggering forfeiture of the 2025 CEO Interim Award. These updates concern the 2018 and interim awards, not the 2025 CEO Performance Award discussed alongside the September 2025 stock purchase.

The AP reported that Tesla shares rose 3.6% to $410.04 on Monday, September 15, 2025, after the disclosure. The Business Times separately reported an intraday premarket rise of as much as 8.7%. These are different observations from different points in the trading day, not evidence that the purchase caused a lasting share-price move.
