Honda is not taking over Nissan or funding its recovery. The companies ended talks about a business integration in February 2025, but they continue selected cooperation. In August 2026, they announced an agreement to standardize electronics control units (ECUs) and software for next-generation software-defined vehicles. That could support future vehicle development; it is not a rescue commitment. Nissan’s recovery still depends on its own plan and results.
Why the proposed Nissan–Honda integration fell apart
On February 13, 2025, Nissan and Honda said they had agreed to terminate the memorandum of understanding they signed on December 23, 2024, to consider integrating their businesses. No integration was completed. In their joint announcement, the companies said they would end discussions and continue a strategic partnership focused on intelligent and electrified vehicles.
The structure under discussion had changed. The initial concept was a joint holding company; Honda later proposed becoming Nissan’s parent, with Nissan as its subsidiary, through a share exchange. The companies said that, in a volatile market, prioritizing speed of management decision-making and execution made it most appropriate to end the talks. This was a termination of negotiations, not a merger that closed and then failed.
Is Nissan in financial trouble?
Nissan’s reported results show why the company faces pressure, but the figures refer to different periods and should not be treated as interchangeable. The Associated Press reported a 533 billion yen net loss for FY2025, compared with a 670.9 billion yen net loss for FY2024. For April–June 2026, Nissan reported a 3.8 billion yen net profit, reversing a 115.8 billion yen net loss in the same quarter of 2025. Sales for April–June 2026 were 2.96 trillion yen, up 9.5% year over year, according to AP.

The quarterly improvement is encouraging, but it does not erase the full-year loss or establish that Nissan’s recovery is complete. A single quarter is only one reporting period; it is not proof that profitability can be sustained.
What Nissan is doing to recover
Nissan calls its recovery program Re:Nissan. The company says it aims to achieve positive automotive operating profit and positive free cash flow by FY2026. Those are company targets, not achieved results or independent forecasts. Nissan’s plan describes a combination of cost reductions, a more focused product and market strategy, streamlined operations, faster development, and stronger partnerships.

The product strategy is intended to prioritize markets and select models and prices to better match local demand. Whether these measures deliver the stated targets will depend on execution and business conditions; the plan itself is not evidence that the turnaround has already succeeded.
What Honda could contribute—and what it has not promised
There is concrete cooperation beyond the abandoned integration talks. On August 31, 2026, Honda announced that it and Nissan had concluded an agreement to standardize ECUs and software for next-generation software-defined vehicles. ECUs are the electronic control units that manage vehicle functions; standardizing them and related software could enable closer technical collaboration. Honda’s investor-relations news listing identifies the agreement, but does not establish its economics, vehicle launch dates, or a financial commitment to Nissan.

Nissan also describes work with global partners, including Honda, Renault Group, and Mitsubishi Motors, on vehicle intelligence and electrification projects. This is project-level cooperation, distinct from shared ownership or a Nissan bailout. The announcements do not make Honda responsible for Nissan’s balance sheet or Re:Nissan targets.

Honda’s May 14, 2026 business briefing focused on rebuilding its automobile business through cost and development-efficiency improvements and a stronger lineup in priority regions. Honda also said it would shift more development and production resources toward hybrids in response to demand. These are Honda’s own strategic measures, not commitments to spend that money on Nissan.

Honda’s stated goal is consolidated operating profit above 1.4 trillion yen in the fiscal year ending March 31, 2029. That target includes Honda’s motorcycle and financial-services businesses, so it is not an automobile-only profit goal. Honda’s May 2026 briefing does not describe the target as funding or support for Nissan.
