Rivian is a publicly traded company, not a subsidiary owned outright by Amazon or Volkswagen. Both companies are significant investors, but their stakes and voting power have changed as Rivian issued shares. The latest dated figures in the filings discussed here put Amazon at 10.9% of voting power and Volkswagen US-Holding at 14.1%, as of July 10, 2026. Those are voting-power figures—not a current, complete breakdown of every shareholder’s economic ownership.
Who owns Rivian?
Rivian Automotive, Inc. is publicly traded, so its shares are held by multiple investors. Amazon and Volkswagen are major corporate shareholders, but neither owns Rivian outright. The clearest way to understand their stakes is to separate ownership of common stock from voting power, and to attach a date to every percentage.
Rivian’s 2026 proxy statement gives a holder-by-holder snapshot measured April 23, 2026. A later Form 10-Q reports voting power for Amazon and Volkswagen as of July 10, 2026. The later filing does not provide a refreshed full shareholder table, so the two snapshots should not be combined as though they describe one date.

The April figures come from Rivian’s 2026 Proxy Statement. The July voting-power figures come from its Form 10-Q.

Does Amazon own Rivian?
Amazon is a major Rivian investor, but it does not own the automaker outright. In Rivian’s proxy snapshot, Amazon.com NV Investment Holdings LLC held 12.9% of common stock and 12.5% of combined voting power as of April 23, 2026. The later Form 10-Q reported 10.9% voting power as of July 10, 2026; it did not state a corresponding refreshed common-stock percentage in the cited disclosure.
Amazon is also connected to Rivian as a customer for electric delivery vehicles. That commercial relationship is distinct from its shareholding and does not, by itself, establish control of Rivian.

Does Volkswagen own Rivian?
Volkswagen is also a significant investor, not Rivian’s outright owner. Rivian’s proxy listed Volkswagen International America, Inc. with 11.7% of common stock and 11.3% of voting power as of April 23, 2026. In the later Form 10-Q, Rivian reported that Volkswagen US-Holding, Inc.—identified as wholly owned by Volkswagen AG—had 14.1% of voting power as of July 10, 2026. The filing does not provide a refreshed common-stock percentage for that holder in the cited disclosure.
Volkswagen is also Rivian’s joint-venture partner in vehicle electrical architecture and software. That partnership is separate from its equity investment; neither relationship should be treated as proof that Volkswagen owns Rivian outright.

Why ownership and voting power are different
Rivian has Class A and Class B common stock. As the company’s 2026 proxy statement explains, “The holders of our Class B Common Stock are entitled to 10 votes per share, and holders of our Class A Common Stock are entitled to one vote per share.” Because Class B shares carry more votes each, a holder’s percentage of voting power can differ from its percentage of common stock.
Rivian’s proxy reported that CEO Robert J. Scaringe beneficially owned all 3,912,500 outstanding Class B shares as of April 23, 2026. His combined voting power was listed as 3.8% in that snapshot. In the later Form 10-Q, Rivian reported that Scaringe’s affiliates had approximately 3.3% of voting power and 1.0% of common shares as of July 10, 2026. These are figures from different dates and disclosures, not a single synchronized ownership table.

The proxy describes Class B shares as convertible into Class A shares and says automatic conversion can occur on specified events, including the fifth anniversary of Rivian’s IPO. The Form 10-Q stated that the dual-class structure was scheduled to terminate in November 2026, on that anniversary. That is the filing’s stated schedule; the cited documents do not establish whether the conversion subsequently occurred.

Rivian issued new shares during 2026, changing the denominator used to calculate shareholders’ percentages. Its Form 10-Q reported that approximately 63 million Class A shares were issued to Volkswagen after milestone achievement in April and approximately 20 million Class A shares were issued to Uber in May. Rivian also conducted a public share offering in July. Issuing shares can dilute existing holders’ percentage stakes, even if they do not sell shares.

Rivian reported approximately 1.358 billion Class A shares and 4 million Class B shares outstanding as of June 30, 2026; those counts are rounded to millions in the filing. For comparison, its 2025 Form 10-K reported 1,237,077,289 Class A shares and 3,912,500 Class B shares outstanding as of January 29, 2026. The earlier count is historical context, not a current total.
The proxy’s beneficial-ownership calculations also include certain options, restricted stock units, or other rights exercisable within 60 days. That methodology is another reason to read a proxy percentage in its stated context rather than treating it as a live trading-day tally.
Who else appears among Rivian’s large shareholders?
In the April 23, 2026 proxy snapshot, Global Oryx Company Limited and The Vanguard Group were also listed as holders at the 5% level. Rivian noted that Vanguard’s previously reported shares would thereafter be reported on a disaggregated basis by Vanguard Capital Management and/or Vanguard Portfolio Management. That means the proxy’s appearance of Vanguard as one holder should not be read as proof that it continued to be reported as a single holder in later disclosures.
The cited filings do not provide a complete holder-by-holder snapshot as of October 8, 2026. The April proxy table is useful for the dated positions it reports; the July Form 10-Q is the newer source for the named investors’ voting power. Shareholder percentages can change with additional share issuance, transactions, or later reporting.

What the figures say about control
Amazon and Volkswagen each held substantial stakes, and Scaringe’s Class B shares gave him greater voting weight per share while that dual-class structure remained in force. But none of the cited figures supports describing Amazon or Volkswagen as Rivian’s owner outright. A precise account should identify the holder, distinguish common-stock ownership from votes, and state the measurement date—especially when discussing a company that has issued significant numbers of new shares.
