McDonnell Douglas was a major U.S. aerospace and defense manufacturer that built commercial and military aircraft, missiles, and space systems. It merged with Boeing in 1997 as the companies sought complementary strengths during defense-industry consolidation: Boeing wanted a larger defense-and-space business, while McDonnell Douglas sought scale as its commercial-aircraft position weakened.
What was McDonnell Douglas?
McDonnell Douglas was not just a commercial-aircraft maker. Its businesses included civil aircraft through Douglas Aircraft Company, military aircraft, missiles, and space activities. At the time of the merger, about three quarters of its business was in defense and space, according to the companies’ merger proxy. Boeing, by contrast, was heavily weighted toward commercial aviation.
After the deal, Boeing placed McDonnell military aircraft and missile systems in a defense organization and Douglas Aircraft Company in Boeing’s commercial-airplane group. The combination therefore joined businesses with different strengths rather than simply adding another airline-maker to Boeing.
Why did Boeing and McDonnell Douglas merge?
Boeing wanted a broader business mix
Boeing’s board said the merger would create a stronger aerospace company with broader defense and space programs and more international opportunities. It cited declining defense spending and industry consolidation, and argued that greater scale could produce cost savings. Boeing also wanted to balance its commercial-aircraft business with a larger defense-and-space business. McDonnell Douglas sought scale as its position weakened
McDonnell Douglas’s board pointed to critical mass, economies of scale, potential cost savings, complementary businesses, wider geographic reach, and a larger contribution to the U.S. industrial base and exports. It presented those aims against a backdrop of lower defense spending and stronger competition.
The company’s commercial-aircraft business was under particular pressure. In its merger proxy, filed in 1997, McDonnell Douglas reported that it received 4% of new commercial-aircraft firm orders in 1996, and that its recently launched MD-95 received no new orders that year. Separately, the U.S. International Trade Commission described a soft defense market, losses of key programs, declining customer confidence, and intense competition in commercial aircraft. How did regulators view the merger?
The U.S. and European reviews were distinct. The FTC closed its investigation without a challenge, reasoning that McDonnell Douglas was unlikely to remain a meaningful competitor in commercial aircraft. The European Commission approved the deal subject to commitments, including provisions concerning patents, Douglas’s commercial-aircraft business, and airline exclusivity.
The USITC characterized the transaction as a stock-for-stock merger valued at $13.3 billion. Its 1998 report also said the merger left Boeing and Airbus as the two major global manufacturers of large civil aircraft. That describes the market structure identified by the commission; it does not, by itself, settle every question about the merger’s competitive effects.

What did the merger mean—and what does it not prove?
The combination brought Boeing’s leading commercial-aircraft position together with McDonnell Douglas’s significant defense and space capabilities during a period of aerospace consolidation. The USITC noted Boeing’s intent to smooth the cycles of the large-civil-aircraft business and strengthen its position in a shrinking defense industry. It also identified integration of different corporate policies and cultures as a management challenge.
Those contemporary explanations establish the deal’s stated rationale and immediate strategic context. They do not, on their own, establish that the 1997 merger caused Boeing’s much later safety, engineering, or management outcomes. Such a causal claim requires separate evidence.
