Turo Filed for a Proposed IPO, Then Sought to Withdraw It

Turo’s proposed IPO filing was not completed: after S-1 amendments, the company requested withdrawal of its registration statement in February 2025.

Turo publicly filed to go public on January 10, 2022, but that filing did not result in a completed IPO. The peer-to-peer car-sharing company later amended its registration statement and, on February 13, 2025, filed a request to withdraw it.

What Turo’s IPO filing meant

Turo connects vehicle owners who list cars with people who book them through its website and app. On January 10, 2022, the company announced the public filing of a registration statement for a proposed initial public offering. A Form S-1 is a registration statement for a proposed securities offering; filing one is not the same as completing an IPO or beginning public trading.

The January 2022 report said the S-1 did not include offering terms. The available filing record therefore does not establish an IPO price, ticker symbol, or proceeds from a completed offering.

How the filing changed over time

  1. August 9, 2021: Turo’s press archive lists its announcement that it had confidentially submitted a draft registration statement for a proposed IPO. Turo’s press archive.
  2. January 10, 2022: Turo announced the public filing of its registration statement for a proposed IPO. TechCrunch reported the filing that day.
  3. August 8, 2024: Turo filed Amendment No. 11 to its S-1. It continued to describe the transaction as a proposed offering subject to completion. SEC filing.
  4. November 14, 2024: The SEC index records another S-1/A amendment.
  5. February 13, 2025: Turo filed Form RW, a request to withdraw registration statement No. 333-262088. SEC filing index.

The record establishes that Turo sought to withdraw this registration statement. It does not establish whether the company may pursue a future IPO under a different filing.

What the 2022 filing said about Turo’s scale and finances

These figures describe Turo at the time of its 2022 filing, not its current operating or financial position. TechCrunch reported them from the S-1:

Where the proposed IPO ended

Turo filed publicly for a proposed IPO, kept the registration statement active through later amendments, and then asked the SEC to withdraw that registration in February 2025. The sources establish a withdrawal request, not a completed IPO under that filing.
