The Question Haunting Fisker’s Bankruptcy: Who Gets What’s Left?

Fisker’s bankruptcy was not only about why the EV startup failed. It became a fight over whether Heights Capital, as agent for CVI Investments, had priority to the remaining vehicle and asset value.

The question haunting Fisker’s bankruptcy is not simply why the EV startup failed. It is who gets the value left after the failure. Fisker’s own financial statements explain the collapse: the company burned cash, reported deeply negative gross profit, wrote down inventory, missed an interest payment and warned that it might not be able to continue as a going concern. But the bankruptcy became a fight over financial priority, principally whether Heights Capital Management, acting as agent for CVI Investments, should stand at the front of the recovery line as the holder of Fisker’s prepetition senior secured notes.

That distinction mattered because Fisker still had vehicles, cash, intellectual property, insurance-related claims and other potential sources of value. If Heights’ secured position controlled the collateral, the lender could receive proceeds before many unsecured creditors. If unsecured creditors or other parties could successfully challenge that position, more value might remain available to them. The confirmed Chapter 11 plan created a Liquidating Trust to manage the wind-down, but the case’s later claims and settlement activity shows that confirmation was not the same as the end of every dispute.

Fisker’s failure created two different questions

The first question is operational: why could a company that had delivered thousands of electric vehicles still run out of money? Fisker’s own filings provide a clear answer—heavy cash consumption, severe negative gross margins, inventory write-downs, weak liquidity and missed debt payments.

The second question is the one that made the bankruptcy strategically important: who controls and receives the value that remained? That meant the vehicles, sale proceeds, cash, intellectual property, insurance recoveries and any claims against third parties. Heights Capital Management, acting as agent for CVI Investments, was treated in the bankruptcy filings as the holder of Fisker’s prepetition senior secured notes. If that secured position held, Heights could have priority over collateral proceeds before many unsecured creditors received anything.

That does not mean the public record established that every aspect of Heights’ position was unquestionably valid, nor that Heights was judicially found to have acted improperly. It means the lender’s priority became the central economic and legal fault line in a liquidation with limited and rapidly depreciating assets.

What happened to Fisker?

Fisker Group Inc. filed for Chapter 11 protection on June 17, 2024. Fisker Inc. and other U.S. subsidiaries filed their own Chapter 11 cases on June 19. The cases were jointly administered in the U.S. Bankruptcy Court for the District of Delaware under Case No. 24-11390. Initially, the debtors operated as debtors in possession while seeking authority to continue essential operations, pay employees and sell inventory. Fisker’s bankruptcy filing disclosure describes the initial proceedings and requested operating authority.

Chapter 11 did not ultimately produce a buyer that revived Fisker as a conventional automaker. The case moved toward liquidation: vehicles were sold, remaining assets were placed into a trust structure, and claims and disputes continued to be administered after the operating business stopped functioning as a going concern.

The numbers explain why the filing became unavoidable

Fisker’s 2023 Form 10-K shows a company that had begun delivering vehicles but had not yet reached a financially sustainable level of production and sales.

Indicator Fisker’s reported figure Why it mattered
Vehicles delivered in 2023 4,847 The company had real vehicle deliveries, but the volume was too small to support its cost structure.
2023 net revenue $272.9 million Revenue remained modest for an automaker carrying manufacturing, selling and administrative costs.
2023 cost of revenue $558.8 million Cost of revenue exceeded sales by a wide margin.
2023 gross profit Negative $285.9 million Fisker was losing money before considering many other corporate and financing costs.
Inventory write-down $232.7 million The company reduced the recorded value of inventory to reflect what it expected to realize from it.
Cash and cash equivalents at December 31, 2023 $325.5 million This headline year-end figure deteriorated sharply within months.
Unrestricted cash at April 16, 2024 $53.9 million Cash available for ordinary needs had fallen dramatically.
Restricted cash at April 16, 2024 $11.2 million Not all cash on the balance sheet was freely available to fund the business.
Operating and investing cash used in 2023 $904.9 million The business consumed cash at a rate its financing could not sustain.

These figures come from Fisker’s 2023 Form 10-K. The filing also disclosed that Fisker missed an approximately $8.4 million interest payment on its 2026 notes in March 2024 and that there was substantial doubt about the company’s ability to continue as a going concern.

The inventory write-down is especially revealing. It shows that vehicles could be valuable as products in a functioning retail and service system but worth much less when the company had to dispose of them quickly. In bankruptcy, an Ocean was not simply a finished product waiting for a normal customer sale. It was also an asset that had to be converted into cash while the company’s liquidity was shrinking.

Why Heights Capital became the central question

In an ordinary corporate failure, many creditors may agree that the company has failed but disagree sharply over the remaining money. Fisker’s bankruptcy presented exactly that problem.

Heights was not described as an ordinary supplier or trade creditor. The bankruptcy materials treated CVI Investments, through Heights as its agent, as the holder of Fisker’s prepetition senior secured notes. The proposed inventory transaction treated the vehicles as collateral and stated that Heights consented to their sale. The inventory-sale materials are central to understanding why the lender’s position mattered.

“Senior secured” is important because it connects a debt claim to specified collateral. In broad terms, a secured creditor may look first to the value of its collateral, subject to the Bankruptcy Code, other valid priorities, estate costs, competing liens, valuation disputes and the amount actually realized. If the collateral is worth less than the debt, the unpaid balance may be treated differently from the secured portion. A secured lender therefore does not automatically receive every dollar in the estate—but its position can be far stronger than that of an unsecured creditor with no collateral claim.

For Fisker, the practical stakes were substantial:

  • The vehicles could generate the estate’s most visible pool of cash. Their sale converted physical inventory into proceeds that creditors could claim.
  • The proceeds were connected to claimed collateral. If Heights’ security interest and priority were respected, much of the economic benefit of that collateral could flow toward the secured notes before general unsecured claims.
  • Liquidation reduced the time available to preserve value. Vehicles depreciate, storage and logistics cost money, and a bankrupt automaker may lack the marketing, service and financing infrastructure needed to sell them through ordinary retail channels.
  • Every dollar allocated to one class reduced what might remain for another. That made the lender’s legal position more consequential than a dispute over paperwork alone.

The unsecured creditors’ committee and other parties considered investigating or challenging aspects of Heights’ position and the underlying financing transactions. A later settlement proposal contemplated releases for Heights, waiver of certain additional claims and continuation of a challenge period under specified conditions. The settlement materials show that the issue was managed through negotiation and case procedures, not merely ignored.

But the distinction between being treated as a secured noteholder under the case documents and winning a final merits ruling that every challenge to the lien was defeated is critical. The sources reviewed do not establish a simple, independent judicial finding that resolved every substantive question about Heights’ secured status in its favor.

The $46.25 million vehicle sale was the immediate test

As of the petition date, Fisker’s inventory included 3,321 electric vehicles. The proposed fleet sale set a maximum purchase price of $46.25 million, plus specified delivery and transaction costs. The sale was presented as necessary to preserve liquidity, and Heights supported it because the inventory was being treated as its collateral.

This transaction condensed the entire bankruptcy dispute into a single practical question: how much could Fisker obtain for the vehicles, and who would be entitled to the resulting cash?

A fleet disposal is not the same as selling each vehicle through a healthy retail network. A bulk buyer typically values speed, logistics and risk differently from an individual consumer. The buyer may have to absorb storage, transportation, reconditioning, warranty uncertainty, software issues and resale risk. That helps explain why a company can report a large inventory balance and still receive much less in a forced or accelerated liquidation.

The $46.25 million figure should also be read precisely. It was the maximum purchase price described in the sale materials, not a statement that every dollar became a distributable recovery for unsecured creditors. Delivery and transaction costs, other estate expenses, the treatment of collateral and the final administration of the proceeds all affect what remains.

The sale preserved cash value that might otherwise have disappeared through continued depreciation and carrying costs. At the same time, it strengthened the importance of the collateral dispute: converting the vehicles into cash did not eliminate the question of priority. It changed the form of the asset from cars to proceeds.

What the confirmed plan changed

The Bankruptcy Court entered an order confirming Fisker’s Joint Chapter 11 Plan of Liquidation on October 16, 2024. The plan became effective on October 17, 2024. This was the decisive shift away from a possible operating-company restructuring and toward a formal wind-down. Fisker’s case-information repository identifies the confirmation and plan-administration materials.

The plan created a Liquidating Trust. Its role was to administer remaining assets, resolve disputed claims, conduct the wind-down and pursue or settle claims and causes of action to the extent authorized by the plan and trust documents. The plan documents describe that liquidation structure.

This structure matters because confirmation did not make every issue disappear. It established the framework through which unresolved value and disputes would be handled. The trust could continue processing claims, addressing objections, administering distributions and dealing with litigation or settlements even though Fisker was no longer trying to return to normal vehicle production.

What happened to the Heights dispute?

The confirmed plan and related materials addressed the treatment of claims and releases involving Heights and other parties. They also reflected negotiated mechanisms concerning potential challenges and additional claims.

That is not the same as saying that a court conducted a full trial and issued a universal ruling that Heights’ lien position was valid in every respect. There are at least three separate concepts that should not be collapsed into one:

  1. Case treatment: how the plan classified and paid, or proposed to pay, a claim.
  2. Negotiated settlement: what parties agreed to release, waive or preserve in order to resolve uncertainty and move the case forward.
  3. Merits adjudication: a final judicial decision resolving the underlying validity, priority or conduct questions after litigation.

Fisker’s public case materials support the first two categories. They do not, based on the sources reviewed, support an unqualified statement that every possible challenge to Heights was definitively rejected on the merits.

This is why the question continues to haunt the bankruptcy. Fisker’s business failure is comparatively easy to describe. The more difficult issue is whether the financial architecture established before bankruptcy appropriately placed Heights ahead of unsecured creditors—and how much value the estate could preserve while that question remained unresolved.

Is Fisker’s bankruptcy over?

Not in the practical sense. The operating automaker did not emerge from Chapter 11 as a revived manufacturer, but the legal and administrative work continued after plan confirmation.

As of August 12, 2026, the latest docket information identified in the research record showed activity involving extensions of the Liquidating Trustee’s deadlines to object to claims and to file notices of removal concerning claims and causes of action. The docket also reflected a post-confirmation report for the quarter ended June 30, 2026, along with orders concerning a settlement amount under directors-and-officers insurance policies. The available case docket summary provides that later-status context.

Accordingly, “Fisker is bankrupt” is an accurate shorthand for the company’s collapse, but it should not imply that all claims, recoveries, objections and settlements ended when the plan became effective. The company’s manufacturing story ended; the estate’s administration did not.

What does the bankruptcy mean for Fisker Ocean owners?

Owners are part of the human cost of the liquidation, but their position should not be reduced to a simple statement that every warranty or remedy vanished. The effect can vary according to the vehicle’s market and model year, the type of warranty or obligation, the relevant claims procedure, recall status and whether another party or resource remains responsible.

The bankruptcy created uncertainty around service, software support, replacement parts, warranty performance and recalls. Owners should preserve purchase documents, service invoices, warranty communications, diagnostic records and recall notices. Those records may be important whether an owner is dealing with a service provider, a warranty issue, a regulator or a bankruptcy-related claim.

Charging equipment solves only the charging-access problem. For a North American vehicle, a properly specified CCS1 EV charger may be useful, but owners should verify connector type, electrical requirements, vehicle compatibility, seller specifications and local installation rules before purchasing. A charger does not restore Fisker’s software support, warranty performance, parts supply or recall administration. The owner documentation should be checked against the vehicle’s applicable market and model year; the available Fisker Ocean manual reproduction is an archived or third-party reference rather than proof of current manufacturer support.

For repairs, particularly high-voltage battery, charging-system and other safety-critical work, owners should seek a qualified technician through an independent EV service provider and confirm that the provider actually supports the relevant Ocean configuration. Do not infer that a general repair shop is equipped to work on a high-voltage system merely because it services gasoline vehicles or performs basic 12-volt repairs. Roadside assistance and service availability may also vary significantly by country, state or province.

The answer to the haunting question

Fisker went bankrupt because its business could not convert vehicle deliveries into sustainable economics. The company delivered 4,847 vehicles in 2023, generated $272.9 million in revenue against $558.8 million in cost of revenue, wrote down $232.7 million of inventory and saw available cash contract sharply before missing an interest payment.

But the bankruptcy’s defining question was what happened after that failure. Heights, acting for CVI Investments, occupied the position of a prepetition senior secured noteholder and claimed an interest in the vehicles as collateral. The $46.25 million fleet-sale structure turned those vehicles into cash, making the priority dispute concrete. The confirmed liquidation plan and Liquidating Trust then converted the dispute into an administered process of claim resolution, settlements, asset recovery and wind-down.

The case therefore was not simply a failed-EV-startup story. It was a contest over financial priority: whether the remaining value would flow principally to the secured lender, or whether unsecured creditors and other stakeholders could challenge that priority and preserve more of the estate for themselves. Confirmation created a mechanism for managing that contest; it did not turn the underlying economic controversy into an uncomplicated victory for every creditor.

Frequently Asked Questions

Did Fisker’s bankruptcy become Chapter 7?

Fisker filed Chapter 11 cases in June 2024, not Chapter 7. The company initially sought to continue limited operations and sell inventory, but its confirmed plan became a liquidation plan effective October 17, 2024. Fisker did not return to ordinary vehicle production.

Why was Heights Capital so important in Fisker’s bankruptcy?

The bankruptcy filings treated CVI Investments, through Heights Capital Management as its agent, as the holder of Fisker’s prepetition senior secured notes. That gave Heights a potentially superior claim to collateral proceeds. The sources reviewed do not establish that a final merits ruling definitively resolved every challenge to the validity or priority of that position.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How much were Fisker’s remaining vehicles worth in the bankruptcy?

The sale materials described a fleet transaction involving 3,321 electric vehicles and a maximum purchase price of $46.25 million, plus specified delivery and transaction costs. The precise amount available for distributions depends on the final transaction, expenses, claim treatment and the Liquidating Trust’s administration.

Is Fisker’s bankruptcy case completely finished?

No. The operating company’s manufacturing and going-concern restructuring ended, but the Liquidating Trust continued administering claims, objections, asset recoveries and settlements. Docket activity identified through August 12, 2026 included extensions of claim-objection and removal deadlines, a post-confirmation report and directors-and-officers insurance settlement matters.

Did Fisker’s bankruptcy automatically cancel every Ocean warranty and recall remedy?

Not automatically. Warranty, service, software and recall issues can depend on the vehicle’s market, model year, obligation type, claims process and available resources. Owners should preserve their records, verify current recall and service information, and use qualified technicians for high-voltage work rather than assuming that bankruptcy eliminated every remedy or preserved every remedy.

The Bottom Line

Bottom line: Fisker’s operational collapse explains why it filed for Chapter 11, but Heights Capital’s asserted senior secured position explains why the bankruptcy mattered after the filing. The vehicles were converted into cash, the plan created a Liquidating Trust, and the case remained active in claims and settlement administration into 2026. The public record supports Heights’ treatment as the secured noteholder in the case, but not an unqualified claim that every challenge to its position was resolved by a final merits ruling.
