The certificate was signed by Tesla General Counsel and Secretary Todd A. Maron on January 30, 2017, and specified that the amendment would take effect February 1. The SEC filing reported the change as effective on that date.
What changed—and what did not?
Tesla said the amendment changed the company’s corporate name and that its certificate of incorporation and bylaws were amended solely to reflect that change.
