The situation changed materially after the original January 2026 reports: SpaceX completed its acquisition of xAI on February 2, 2026, and Tesla’s planned investment in xAI was converted into a purchase of SpaceX stock. A separate combination between Tesla and SpaceX remains a reported possibility, not a signed or completed transaction.
That distinction matters for Tesla owners, investors, and anyone following Elon Musk’s companies. The completed SpaceX-xAI deal is documented in corporate filings; the Tesla-SpaceX possibility is based on reported discussions and Musk’s later comments, with no disclosed merger agreement, valuation, exchange ratio, closing date, or board approval.

The short answer
The January headline that Elon Musk’s SpaceX, Tesla, and xAI were “in talks to merge” is now too broad without a date qualifier.
- SpaceX and xAI: A merger agreement was dated January 31, 2026, and the transaction closed on February 2. xAI Holdings became a wholly owned subsidiary of SpaceX.
- Tesla and SpaceX: A possible future combination has been reported and Musk has declined to rule it out, but no definitive Tesla-SpaceX merger has been announced.
- Tesla’s relationship to SpaceX: Tesla completed an approximately $2 billion investment in SpaceX on March 12 after its original xAI investment was converted into SpaceX shares. Tesla reported that the resulting ownership interest was below 1 percent.
- Tesla’s China business: A report about possible preparations to separate the China operation was disputed by Musk and remains unconfirmed.
In practical terms, SpaceX now owns xAI. Tesla has a small financial interest in SpaceX and commercial relationships with it, but Tesla has not been absorbed by SpaceX.

What actually happened to SpaceX and xAI?
On January 31, 2026, SpaceX entered into a merger agreement covering a two-step transaction involving xAI and the surviving entities. The structure made SpaceX the acquiring parent rather than creating a confirmed three-company merger in which Tesla was also a participant.
Tesla’s quarterly filing subsequently stated that xAI Holdings was acquired by SpaceX and became a wholly owned SpaceX subsidiary on February 2. That filing is the clearest evidence that the SpaceX-xAI route moved from reported discussions to a completed corporate transaction.
The result is important when interpreting later headlines. Saying that “SpaceX, Tesla, and xAI are merging” suggests that all three companies are parties to one unfinished deal. The documented position is different: the SpaceX-xAI transaction is complete, while the possible Tesla-SpaceX combination remains unresolved.

Why Tesla is connected to SpaceX without being merged with it
Tesla’s original investment was aimed at xAI. Once xAI was acquired by SpaceX, Tesla’s contractual right was converted into the right to acquire SpaceX Class A common stock. Tesla completed that investment on March 12.
The resulting ownership interest was less than 1 percent. That gives Tesla a documented financial relationship with the post-merger SpaceX company, but it does not amount to a Tesla-SpaceX merger or give Tesla control of SpaceX.

- Almost 3D Observing Possible: A binocular viewer turns your telescope into binoculars; unlike the common and rather un-natural one-eye observing way; you can observe in a fully relaxed manner without squinting and experience a stronger sense of space
- Equipped with Two Additional Eyepieces: The device comes with two 1.25 inch 32 mm Plossl eyepieces secured by compression rings without scatching them; a stereo viewer requires a matched pair of 1.25-inch eyepieces; other sizes are sold separately
- With 1.85x and 3x Correctors: Two glass path correctors are offered; they multiplies magnification 1.85x and 3x like a Barlow lens but it will allow for proper focusing; with these two glass path correctors; more telescopes can be adapted
- Multi Coated BAK4 Prisms: The BAK-4 prism is equipped with multiple layers of coating on its optical surfaces; aiming to minimize reflection and enhance the contrast for deep-space or solar system objects while reducing light loss
- Compatible with Various Telescopes: A novel optical system simplifies the focusing process; even when using Newtonian telescopes; short refracting telescopes and Schmidt-Cassegrain telescopes
Tesla’s filings also describe commercial, licensing, and support arrangements between Tesla and the companies. Those agreements may create business links between the organizations, but ordinary commercial or licensing relationships should not be presented as evidence that a corporate combination has been approved.
What Musk’s July comments do—and do not—establish
On July 22, Musk kept the possibility of combining Tesla and SpaceX open. He pointed to increasing overlap between the businesses, but also indicated that the matter could not be handled as an informal topic during an earnings call and would require the appropriate process.

It suggests that the idea had not been definitively abandoned. It still does not establish any of the following:
- that Tesla and SpaceX signed a merger agreement;
- that either company’s board approved a transaction;
- that shareholders were asked to vote;
- that regulators approved the combination;
- what shares, cash, or other consideration would be exchanged;
- what the transaction would be worth; or
- when a closing could occur.
The most accurate description is therefore that Musk left the door open to a possible Tesla-SpaceX combination.
What about Tesla’s China business?
A separate report, summarized by Reuters from a Wall Street Journal article, said some Tesla executives had been told to prepare for possible separation of Tesla’s China operation. The reported possibilities included a spinoff, a sale, or closure, and the report said the plans could change.

Musk disputed the report and characterized it as false or implausible in public comments reported by secondary coverage. Because the underlying report was disputed and no confirmed corporate action was identified in the reviewed record, it should not be stated as a decision by Tesla.
The report is still relevant as an illustration of the issues a Tesla-SpaceX transaction could raise. Tesla has manufacturing, sales, data, and regulatory relationships spanning multiple countries. SpaceX is a U.S. aerospace and national-security contractor. Any plan to combine them—or to separate part of Tesla before combining the remainder—would require careful analysis of cross-border operations, national-security concerns, corporate governance, and regulatory approvals. Those are implications of the companies’ businesses, not proof that a China separation has been approved or formally structured.
Why a Tesla-SpaceX transaction would be unusually complicated
The completed SpaceX-xAI deal and a possible Tesla-SpaceX deal are very different exercises.
Tesla is a large public operating company
A Tesla combination would affect a publicly traded automaker with factories, vehicle customers, employees, suppliers, shareholders, international sales, data systems, and regulatory obligations. A transaction would need to explain how Tesla’s automotive operations fit within the combined company and how shareholders would be treated.
SpaceX operates in aerospace and national security
SpaceX’s role as a U.S. aerospace and national-security contractor introduces concerns that do not arise in the same way in a conventional automotive merger. Government contracts, sensitive technology, ownership, control, and access to data could all become central to any review.

China could be a practical bottleneck
Analysts cited by Reuters identified regulatory approval—particularly in China—as a practical obstacle. The issue is not simply whether Tesla and SpaceX share technology or investors. It is also whether the combined structure could satisfy the requirements of jurisdictions in which Tesla operates while accommodating SpaceX’s U.S. government relationships.
The corporate process would be more than an executive announcement
A serious transaction would normally produce formal documents describing the structure, consideration, governance, conditions, and expected timetable. Depending on the eventual structure, it could also require board action, shareholder disclosures or votes, and regulatory review. None of those milestones has been disclosed for a Tesla-SpaceX merger in the record reviewed here.

What this means for Tesla owners and car shoppers
There is no confirmed immediate change to Tesla vehicles, warranties, pricing, factories, service operations, or product plans arising from the reported Tesla-SpaceX possibility.
The completed SpaceX-xAI transaction and Tesla’s small SpaceX investment may eventually affect strategy, capital allocation, technology relationships, or corporate governance. However, none of those potential effects should be confused with an announced change to the cars Tesla sells.

How to tell whether a Tesla-SpaceX merger becomes real
Readers following the story should look for primary corporate disclosures rather than treating every report about Musk’s companies as evidence of a deal. The strongest confirmation would be a combination of the following:
- A definitive agreement: The companies would disclose the legal structure, parties, consideration, conditions, and expected closing process.
- Board approval and formal filings: Tesla would be expected to explain the transaction to shareholders and the market, while the relevant SpaceX transaction documents would identify the parties and terms.
- Financial terms: A genuine merger announcement would normally provide, or explain why it cannot yet provide, the valuation, exchange ratio, ownership percentages, and treatment of existing shareholders.
- Regulatory and national-security review: The companies would identify material approvals and explain any cross-border or government-contract issues affecting completion.
- Closing announcement: The final step would confirm that the conditions were satisfied and specify what entity now owns or controls the relevant businesses.
Until those milestones appear, “Tesla-SpaceX merger” should be treated as a possibility under discussion rather than a completed or agreed transaction.
Source basis: This account distinguishes the SEC-filed SpaceX-xAI merger agreement and Tesla’s quarterly filing from Bloomberg and Reuters reporting based on sources, Tesla’s July 22, 2026 earnings discussion, and disputed reporting about Tesla’s China business.

Did SpaceX merge with Tesla and xAI?
No. SpaceX completed its acquisition of xAI on February 2, 2026. Tesla was not part of that completed merger. Tesla later completed an investment in SpaceX representing less than 1 percent ownership, while a separate Tesla-SpaceX combination remains unconfirmed.
Does Tesla own xAI?
No. xAI Holdings became a wholly owned subsidiary of SpaceX. Tesla’s planned approximately $2 billion investment in xAI was converted into an investment in SpaceX common stock after the acquisition.
Is Tesla splitting off or selling its China business?
There is no confirmed evidence of that decision in the reviewed record. A Wall Street Journal report summarized by Reuters described possible preparations for a spinoff, sale, or closure, but Musk disputed the report.
What did Elon Musk say about a Tesla-SpaceX merger?
During Tesla’s second-quarter 2026 earnings discussion on July 22, Musk did not rule out a future combination and cited increasing overlap between the companies. He also indicated that any such matter would require an appropriate corporate process. His comments did not announce a signed agreement or a closing timetable.
The Bottom Line
Bottom line: The SpaceX-xAI deal is no longer merely a reported possibility—it closed on February 2, 2026. Tesla has a small SpaceX ownership interest and commercial ties with the company, but a Tesla-SpaceX merger remains only a reported possibility that Musk has left open. There is no confirmed three-way merger, no disclosed Tesla-SpaceX agreement, and no confirmed plan to separate Tesla’s China business.
