Granted November 6, 2025, it covers up to 36.5 million Class A shares at an exercise price of $15.22 per share. Scaringe can earn shares only if specified stock-price or financial targets are met and he satisfies service requirements. The roughly $5 billion figure is a conditional estimate, not compensation already received.
What Rivian granted Scaringe
Rivian’s 2026 proxy statement says its compensation committee canceled Scaringe’s 2021 performance-based option, which covered up to 20,355,946 shares, and replaced it with the 2025 CEO Award for up to 36,500,000 shares. That is a net increase of 16,144,054 shares covered by the awards. The new option’s exercise price is $15.22 per share, equal to Rivian’s Class A closing price on the November 6, 2025 grant date. An option gives its holder the right to buy shares at the exercise price if its conditions are met. The award does not mean Rivian handed Scaringe those shares or their value in cash. Its eventual value depends on how many shares vest and the market price when he can exercise and sell, among other factors.
What Scaringe must achieve to earn shares
The award is subject to performance goals as well as continued service as CEO. The proxy describes it as “entirely at-risk.” Its shares are divided between stock-price milestones and financial targets.

Stock-price hurdles: $40 to $140
Up to 22 million shares are allocated across 11 equal tranches, each tied to a stock-price hurdle from $40 to $140 in $10 increments. A hurdle counts when Rivian’s average closing price reaches the relevant level over any 120 consecutive trading days. The performance period runs through the tenth anniversary of the grant date, November 6, 2035.
Meeting a price hurdle does not remove the service condition. Most shares earned under the award vest in five equal annual installments, subject to continued service. Financial targets through 2032
The other 14.5 million shares are tied to adjusted operating income and cash flow from operations. Each category can earn up to 7.25 million shares, with performance periods ending December 31, 2032. Shares earned under these goals are also subject to continued service and vesting conditions. The proxy’s summary does not establish the precise financial thresholds in the terms described here, so the award’s exact financial hurdles should not be inferred from the share allocation alone. Why the headline says “up to $5 billion”
TechCrunch described the award’s potential value as around $5 billion if all goals are met. That is a conditional estimate attached to the award, not cash already paid, shares already vested, or a guaranteed future payout. TechCrunch’s November 2025 report

Rivian’s proxy offers a separate illustration: if the stock-price hurdles are met, it says the award would represent nearly $153 billion in incremental shareholder value compared with Rivian’s market capitalization at the time of grant. How the award differs from reported 2025 compensation
Rivian reported $402,639,080 in total CEO compensation for Scaringe in 2025. That figure comes from the proxy’s compensation table and includes equity-award accounting values; it should not be read as cash he received or as the realized value of the new option. For 2025, the company reported median employee compensation of $90,316 and a CEO-to-median-employee pay ratio of 4,458.1 to 1. The proxy says Mind Robotics issued Scaringe 1,000,000 common units on November 6, 2025, in connection with his service as board chair. The units were fully vested, but the stated economic interest of up to 10% applies only after a specified profits-and-gains threshold is met. This is separate from his Rivian option award. What the package is intended to do
Rivian told TechCrunch the award was designed to retain and incentivize Scaringe as the company advances its technology roadmap and launches R2. The filing’s terms make the structure clear: a large potential award is tied to substantial market or financial performance, plus continued service—not guaranteed compensation on the grant date.
