Rivian’s $250 million settlement of an investor lawsuit over its R1 vehicle pricing has received final court approval, with judgment entered in May 2026. Rivian reported that its net payment after insurance recoveries was $181 million. The case was a securities class action tied to Rivian’s 2021 IPO—not a refund settlement for vehicle owners.
What happened in the Rivian lawsuit?
The consolidated case, Crews v. Rivian Automotive, Inc., et al., concerned alleged violations of federal securities laws in connection with Rivian’s November 2021 IPO. Investors alleged that IPO materials and later statements failed to disclose material facts and risks, including that the bill-of-materials cost of the R1S and R1T exceeded the prices at which the vehicles were offered, making price increases necessary. Rivian and the other defendants denied the allegations and denied liability. The settlement is not a finding that Rivian committed fraud or an admission of wrongdoing. The settlement administrator’s case page and Rivian’s filed settlement announcement describe the action and its terms.
The settlement resolves claims on behalf of investors who purchased or otherwise acquired Rivian Class A common stock during specified periods. It does not compensate customers simply because they bought or owned an R1 vehicle.
How much is the settlement, and how much did Rivian pay?
| Figure | What it means | Source |
|---|---|---|
| $250 million | The cash settlement fund, before deductions described in the settlement notice. This is the fund for eligible claims, not an individual investor’s payout. | Settlement administrator |
| $181 million | Rivian’s reported aggregate net settlement payment after insurance recoveries. This is the company’s net cost, not the total claimant fund or a per-investor payment. | Rivian’s second-quarter 2026 Form 10-Q |
Rivian’s Form 10-Q says preliminary approval was granted on December 18, 2025, and the full settlement was placed in escrow by the company and its insurance carriers by January 2026. It reports that final approval and entry of judgment occurred in May 2026.

Who was eligible to make a claim?
The administrator describes two court-certified classes, with different starting dates. Both require a purchase or other acquisition of Rivian Class A common stock and are subject to the terms in the official notice.
| Claim type | Class period | Important qualification |
|---|---|---|
| 1934 Act claims | November 11, 2021 through March 10, 2022, inclusive | Class members must have been damaged; buyers at the fixed IPO price are excluded. |
| 1933 Act claims | November 10, 2021 through March 10, 2022, inclusive | Eligibility is governed by the official notice and administrator’s procedures. |
Owning Rivian shares at some point is not enough by itself to establish eligibility, and the periods should not be combined into a single rule. Check the administrator’s official case page and notice for the complete definitions and any individual eligibility questions.

Was the settlement approved, and when will payments arrive?
Yes. The administrator says the court approved the settlement and plan of allocation at the May 15, 2026 hearing. The claim-submission deadline was April 20, 2026. The administrator says eligible claimants receive payment only after approval and completion of claims processing.
The available status information does not establish final individual award amounts or confirm that distributions are complete. The $250 million fund and Rivian’s $181 million net company payment do not determine what any particular claimant will receive; do not infer a per-share payout or payment date from either aggregate figure.
