What the Rivian investor lawsuit alleged
The case, Crews v. Rivian Automotive, Inc. et al., was filed in the U.S. District Court for the Central District of California. Plaintiffs alleged that Rivian’s IPO and certain statements afterward were materially false or misleading, or omitted important information. Among other things, they alleged that the bill-of-materials costs of the R1S and R1T exceeded their sales prices and that Rivian faced risks associated with raising prices.

Those points were allegations, not findings of fact. Rivian said it denied the claims and that settling was not an admission of fault or wrongdoing. The defendants continued to deny wrongdoing and liability.
How the $250 million settlement was funded—and why another figure is reported
Rivian announced the $250 million agreement on October 23, 2025, describing an anticipated funding mix of $67 million from directors’ and officers’ liability insurance and $183 million from company cash. In its 2026 second-quarter filing, Rivian later reported an aggregate net settlement payment of $181 million after receiving corresponding insurance recoveries. These are different measures at different reporting points, not competing statements of the settlement’s gross amount.

Who was included in the certified classes
The settlement covered two certified classes of people and entities who purchased or otherwise acquired Rivian Class A common stock during specified periods and were damaged. The periods differed by claim type:
- 1934 Act claims: Generally, purchases or acquisitions from November 11, 2021, through March 10, 2022, inclusive. Buyers at the fixed IPO price were excluded from this class.
- 1933 Act claims: Generally, purchases or acquisitions from November 10, 2021, through March 10, 2022, inclusive.
Defendants, certain related parties, and people or entities that opted out were also excluded. These are general class descriptions; the official settlement website provides the case’s class definitions.

Claim deadline, approval, and payment status
The claim-submission deadline was April 20, 2026, and the settlement hearing took place May 15, 2026. The settlement and plan of allocation were approved; Rivian’s SEC filing dates final approval to May 20, 2026, with judgment entered May 29. The claim deadline has passed.
The $250 million gross settlement does not mean each eligible investor receives a fixed amount. The net fund is reduced by court-awarded fees and expenses, notice and administration costs, and taxes, then allocated among class members with valid claims. Individual pro rata shares depend on the number and characteristics of valid claims. The reviewed case materials do not establish a final individual payment amount or a definitive payment date.
