That language is significant because Milton’s sentence included a $1 million fine and forfeiture of Utah property. The sentencing announcement also said restitution would be addressed in a later proceeding. The clemency document’s express reference to restitution therefore reaches an important unresolved monetary issue in Milton’s federal criminal case.
The pardon does not turn the criminal case into a finding of innocence. A jury returned the convictions in October 2022, and the pardon is an executive act of forgiveness for the specified federal offenses and consequences—not a judicial ruling that the verdict was factually wrong.
Why Trevor Milton was convicted

- The Nikola One prototype: Milton represented that the Nikola One semi-truck was fully functional when it was not.
- The Badger pickup: He claimed Nikola had built the Badger from the ground up using its own technology and parts.
- Hydrogen production: He made claims that Nikola could produce hydrogen at a very low cost even though the company was not producing hydrogen.
- Truck reservations: He presented reservations as binding, multibillion-dollar orders even though most reservations could be canceled.
These were not simply claims about a vehicle’s styling or a delayed production schedule. They concerned whether Nikola had working technology, a functioning supply and production capability, and genuine commercial orders—facts that could materially affect how investors valued the company.

Milton was convicted of one securities-fraud count and two wire-fraud counts. The charging announcement issued in 2021 described the government’s allegations at that stage of the case; the later jury verdict and sentencing record are the proper basis for stating that Milton was convicted.

The Department of Justice’s clemency record lists the same 48-month sentence and the securities- and wire-fraud offenses. Trump’s later pardon expressly refers to the financial and property-related consequences ordered in the federal case.
Pardon versus commutation: the legal distinction
A commutation generally reduces or ends a sentence while leaving the conviction in place. A pardon is an executive act of clemency that forgives a federal offense and can remove or remit specified criminal penalties.
For Milton, the accurate description is that Trump pardoned him. The executive instrument does not say that a court vacated the jury’s verdict or that Milton was factually innocent. Calling the grant a “pardon of innocence” would go beyond the legal language of the document unless clearly attributed to Milton as his own characterization.

The pardon’s practical reach is also defined by the instrument. It directly concerns United States v. Milton and the consequences named in the grant. It should not be generalized into a statement that all possible claims arising from Nikola disappeared.

The restitution language matters
Restitution is money ordered in a criminal case to compensate eligible victims. Milton’s sentencing announcement said the amount would be determined later, while the pardon expressly includes restitution ordered by the court.
That means the grant is not limited to ending or forgiving imprisonment. On its face, it also reaches restitution imposed in Milton’s federal criminal matter, along with the fine, penalties, and forfeiture identified in the instrument.
There is an important limit, however: the pardon does not automatically resolve every other kind of claim. Its effect on a separate civil lawsuit, bankruptcy proceeding, arbitration, shareholder claim, regulatory order, or private contract dispute would depend on the law and orders governing that proceeding. Those matters should be analyzed separately rather than treated as part of the pardon by default.
Milton’s case is separate from Nikola’s SEC settlement
The criminal prosecution of Milton should not be confused with a separate civil enforcement action involving Nikola Corporation.

In December 2021, Nikola agreed to pay a $125 million civil penalty to settle fraud charges brought by the Securities and Exchange Commission. The SEC said the case concerned misleading statements about Nikola’s products, technological progress, commercial prospects, reservations, and financial outlook. The settlement created a Fair Fund for investor victims, and the SEC said its litigation against Milton was separate.
That distinction matters for both legal accuracy and investors trying to understand what the pardon changed. Trump’s executive grant names Milton’s federal criminal case. It does not state that Nikola Corporation’s SEC settlement was canceled, nor does it automatically erase all investor or shareholder remedies.

It does mean:
