No. Elon Musk did not lose his appeal over Tesla’s 2018 compensation plan. On December 19, 2025, the Delaware Supreme Court reversed the trial court’s rescission remedy, reinstated the plan and awarded the stockholder plaintiff $1 in nominal damages.
What did the Delaware Supreme Court decide?
The court reversed the Court of Chancery’s order rescinding Musk’s 2018 compensation plan. Its opinion was “AFFIRMED IN PART, REVERSED IN PART”: the appellate court changed the remedy, rather than erasing every finding made below. It stated, “We reverse the Court of Chancery’s rescission remedy and award $1 in nominal damages.” The decision was issued per curiam, not attributed to an individual justice. Why had the pay package been blocked?
A Tesla stockholder brought a derivative lawsuit challenging the 2018 award. After a five-day trial, the Court of Chancery found that Musk exercised transaction-specific control, reviewed the award under the entire-fairness standard and concluded the defendants had not shown it was entirely fair. The court also criticized disclosures to stockholders and ordered the grant rescinded. The Delaware Supreme Court later reversed that rescission remedy.
What was the $56 billion package?
It was an equity compensation plan made up of stock options, not a fixed $56 billion cash payment. The Delaware Supreme Court describes 12 vesting tranches tied to market-capitalization and operational milestones. The market-cap milestones began at $100 billion and increased in $50 billion steps to $650 billion; completing a tranche entitled Musk to options to buy a specified number of Tesla shares. The headline value is an estimate that changes with Tesla’s share price. The Associated Press described the package as worth about $55 billion when reporting the December 19, 2025 ruling; that is a reported valuation at that time, not a guaranteed cash amount. How did the second shareholder vote fit into the case?
After the trial court ordered rescission, Tesla submitted the plan to shareholders for a second vote with additional disclosures, including a copy of the trial court’s opinion. A majority of disinterested shares voted in favor. The Court of Chancery declined to revise its judgment, and the defendants appealed. The second vote therefore occurred before the Supreme Court’s decision; it was not the appellate court’s final disposition. The opinion recounts the procedural history.

What happens with damages and attorney fees?
The Supreme Court awarded the plaintiff $1 in nominal damages. It also awarded plaintiff’s counsel fees and expenses using a quantum meruit method with a four-times multiplier. The court directed disputes about fees and expenses to the Court of Chancery; the final amount, if any, set after those proceedings is not established here.
