Yes. Tesla shareholders approved Musk’s 2025 CEO Performance Award on November 6, 2025. But the “$1 trillion” label is a contingent potential-value estimate, not a guaranteed cash payment or money already received. To earn the award, Musk must remain in an eligible role while Tesla meets specified market-capitalization and operating milestones.
What is the $1 trillion Tesla pay package?
Tesla’s 2025 CEO Performance Award is an equity compensation plan, not a fixed cash bonus. Tesla’s 2025 compensation proposal describes 12 performance tranches and says full achievement would require the company to reach an $8.5 trillion market capitalization. Tesla’s shareholder letter frames that endpoint as requiring nearly $7.5 trillion in additional shareholder value. Those figures describe the company’s stated performance framework; they do not establish what the award will ultimately be worth. (Tesla compensation proposal; Tesla shareholder letter)

Tesla’s 2025 Form 10-K/A says the award was granted on September 3, 2025, as approximately 423.7 million performance-based restricted shares, and that shareholders approved it on November 6, 2025. The share count is not the same thing as a cash payout: the award’s value depends on satisfying the conditions and on the value of Tesla shares. (Tesla 2025 Form 10-K/A)

Tesla’s proxy materials make the award conditional on both company performance and Musk’s continued service in an eligible role. Its 12 tranches pair market-capitalization milestones with operating milestones. Tesla’s proposal identifies the $8.5 trillion market-capitalization endpoint for full achievement; the available aggregate milestone description does not establish every intermediate tranche threshold.

The shareholder letter names operating ambitions that include one million Robotaxis in commercial operation and delivery of one million AI Bots. These are targets in Tesla’s materials, not evidence that either milestone has been achieved. Tesla’s FAQ says Musk receives no compensation from the 2025 award unless and until the market-capitalization and operational milestones are met and he remains in an eligible role. The title’s “stay focused” wording is not a formal award condition. The documented service test is remaining in an eligible role; the performance tests are Tesla’s stated market-capitalization and operating milestones.

Why did Tesla’s board propose the award?
Tesla says the board created the award in response to shareholder feedback that Musk should be retained and focused on the company. The company describes it as performance-based compensation payable only after ambitious milestones and continued eligible service. That is Tesla’s stated rationale, not an independent finding that the award necessarily aligns incentives. Its FAQ calls it “100% performance-based compensation for Elon.” (Tesla proxy FAQ)
A shareholder opposition letter filed on October 2, 2025, objected that the proposals gave the board broad discretion and raised concerns about dilution and governance. Those are the letter’s authors’ criticisms, not findings established by the award terms. (Shareholder opposition letter)

How the 2025 award differs from Tesla’s other Musk awards
The 2025 CEO Performance Award, the 2025 Interim Award and the 2018 CEO Performance Award are separate arrangements. Tesla’s filings describe the following status through September 27, 2026:
| Award or arrangement | Status and terms reported by Tesla |
|---|---|
| 2025 CEO Performance Award | Granted September 3, 2025, as approximately 423.7 million performance-based restricted shares and approved by shareholders November 6, 2025. It has 12 tranches tied to market-capitalization and operating milestones, as well as an eligible-role requirement. (Tesla 2025 Form 10-K/A; Tesla compensation proposal; Tesla proxy FAQ) |
| 2025 Interim Award | Covered 96 million shares. Tesla’s second-quarter 2026 filing says the award was immediately forfeited after the board determined on April 21, 2026, that restoration of the 2018 award triggered the Interim Award’s “Tornetta Decision Event” provision. (Tesla 2026 second-quarter Form 10-Q) |
| 2018 CEO Performance Award | A separate award. Tesla reported that Musk exercised approximately 304.0 million options under it in the quarter ended June 30, 2026. The exercise and related conditions do not change the terms of the 2025 award. (Tesla 2026 second-quarter Form 10-Q) |
| 2018 award Implementation Agreement | A separate April 21, 2026 agreement about exercise of the 2018 award, not another name for the 2025 award. Tesla’s first-quarter 2026 filing says it provides no additional economic benefit and requires continued service through January 19, 2028, for restricted shares issued on exercise, with a five-year holding period beginning at vesting. (Tesla 2026 first-quarter Form 10-Q) |
What is not known about the award’s eventual value?
The $1 trillion headline does not tell shareholders what Musk will receive. The award is contingent on future company performance and eligible service, and the value of any equity earned depends on share value. Tesla’s stated $8.5 trillion endpoint and nearly $7.5 trillion value-creation framing describe full achievement, not a current payout. Tesla’s proposal supports the overall 12-tranche structure and endpoint, but not a complete schedule of intermediate thresholds in the materials cited here.
