What Ambarella acquired—and when
Ambarella announced a definitive agreement to acquire Ohio-based Oculii Corporation on October 26, 2021. The merger closed on November 5, and Ambarella announced the completion on November 8, saying Oculii had become a wholly owned subsidiary. Why radar fit Ambarella’s strategy
Ambarella already supplied processors for camera-based computer vision. It described Oculii’s contribution as adaptive software for radar perception, intended to work with production radar chips and Ambarella CVflow system-on-chips. The strategic aim was to fuse radar data with camera-based perception on edge-AI systems, including automotive systems and other endpoints such as mobile robots and security devices. In announcing the acquisition, Ambarella CEO Fermi Wang said Oculii’s team aligned with the company’s “algorithm-first approach” and its initiatives to fuse sensor data in edge-AI systems. Hong said joining Ambarella would help Oculii develop its radar technology while drawing on the processor company’s capabilities. These statements describe the companies’ rationale and expectations, not independent evidence of product results.

What Oculii’s radar software was intended to do
Ambarella described Oculii’s adaptive AI algorithms as a way to improve radar perception using existing production radar chips. Its 2021 announcement said the approach was intended to provide higher resolution, longer range and greater accuracy, and claimed up to 100X higher radar resolution. That figure and the related benefits are Ambarella’s product claims; the cited announcements and filing do not provide an independent benchmark methodology or test results to verify them. Why the two reported deal values differ
The closing announcement described approximately $307.5 million in cash consideration under the merger agreement, subject to customary adjustments. Ambarella’s FY2022 Form 10-K later reported $355.7 million in total purchase consideration for acquisition accounting. These figures refer to different transaction and accounting descriptions; they should not be treated as interchangeable versions of a single cash price. What Ambarella said later about 4D imaging radar
In a 2023 announcement, Ambarella described a centralized 4D imaging-radar architecture combining Oculii algorithms with its CV3 domain-controller family. This shows how the company later positioned the acquired technology within its architecture.
