In October 2024, electric motorcycle maker Zero Motorcycles filed a U.S. notice for an equity offering with a total target of $120,622,936. At the time of filing, about $100.2 million had been sold to two investors and roughly $20.4 million remained. The offering was underway then. The sources reviewed do not establish whether the full amount was eventually raised, and they do not name the investors.
What the SEC filing shows
The figures come from a Form D notice filed with the U.S. Securities and Exchange Commission. A Form D is the notice an issuer files for an exempt securities offering. It is not a registration statement, and the SEC does not review it before it is filed.

Rule 506(c) allows an issuer to publicly advertise an offering, provided every purchaser is a verified accredited investor. The notice’s own terms therefore describe a fundraising effort that was open to the public, even though the investors who bought in were not named.
The SEC states that its filings do not mean it has reviewed a filing or determined that it is accurate and complete. The amounts above are what Zero reported in its notice, not figures the agency has verified.

Why the headline says $120 million
The $120 million figure is a rounding of the filed total offering amount. That total is a ceiling for the offering, not money already in the company’s bank account. The sold amount at filing, about $100 million, is the more accurate measure of what had been committed when the notice was signed.
What Zero says the money is for
Zero confirmed the raise to TechCrunch, and its October 24, 2024 report, written by Sean O’Kane, says the company intends to use the proceeds to fund expansion and new models. The company declined to provide further specifics.

The reported plan does not name a model, set a production schedule, break down spending, or quantify an expected result. Readers should treat “expansion and new models” as the company’s stated purpose and nothing more detailed.
Who is investing
The notice reports two investors but does not identify them. The sources reviewed do not name either investor, and no executive or investor is quoted on the offering terms.

Whether the round has closed
The filing describes the offering as in progress, with roughly $20 million left to sell at the time. The sources reviewed do not show a later amendment, a closing announcement, or a final total. Until the company or an updated filing says otherwise, the $120 million figure should be read as the target of an offering that was underway in October 2024, not as proof that the full amount came in.
How it compares with Zero’s 2022 financing
Zero’s previous financing was announced on September 29, 2022, and the two rounds differ in how they were reported.

TechCrunch described the 2024 offering as Zero’s first funding round since 2022. The two sets of numbers should not be added together or treated as the same measure, because one is a company’s 2022 announcement and the other is an offering notice with a sold-to-date figure.

The company’s 2022 profile
In its 2022 announcement, Zero described three business areas: consumer motorcycles, fleet sales, and powertrains for partner applications. It said it was present in more than 200 police departments and authority fleets at that time. The company also said it had sold over 20,000 vehicles and accumulated over 165,000,000 miles of on-road and off-road experience. These are company-reported historical claims from 2022, not audited figures.

The company also said it had “all the necessary resources to continue pushing the boundaries of two-wheeled EV’s and electric powertrains.” That is a 2022 statement, quoted by TechCrunch in 2024, and it does not describe the company’s finances in 2024 or later.

Zero’s official website, checked on October 8, 2026, lists the following models. The lineup is time-sensitive, and the site does not say which models the 2024 offering was meant to fund.

- DS Line: DSR/X, DSR, and DS
- X Line: XE and XB
Company-reported 2025 results
A February 2026 company announcement, carried by Backbone Media, reported the following for 2025. These are company figures, not independently audited market data.
- Retail sales up 89% year over year in North America and 17% in Europe and the rest of the world
- Full-size model retail sales up 28%
- North American dealer count up 40%
- A global dealer network of well over 250 locations
- North American retail sales in December 2025 up 491% compared with December 2024
CEO Pierre-Martin Bos said, “2025 was a defining year for Zero Motorcycles.” The company’s announcement continued: “We expanded our global footprint, grew sales and welcomed more riders into electric mobility than ever before – clear proof that our products and vision continue to resonate worldwide.”
