There is no confirmed U.S. ban on Mercedes-Benz based on Chinese shareholdings. A proposed Senate bill that could affect the company was delayed until after the midterm elections, according to the Associated Press on September 30, 2026. That delay is not a permanent exemption, and the reviewed sources do not establish a final company-specific outcome.
The ownership concern comes from two separate holdings disclosed by Mercedes-Benz Group: BAIC Group held 9.98% and investor Li Shufu held 9.69% through Tenaciou3 Prospect Investment Limited, based on voting-rights notifications dated June 30, 2026. Added together, they equal 19.67%—the basis for the shorthand “nearly 20%,” not a company-published combined figure.
What is the status of the proposed U.S. ban?
The ownership-based restriction is a proposal, not an enacted ban. The Associated Press reported on September 30, 2026, that senators delayed action on the bill until after the midterm elections while negotiating with Sen. Rand Paul. Supporters said they would try again after the elections. The report does not establish whether the bill will pass or what final language would apply to Mercedes-Benz.
AP described the proposal as using a 15% ownership threshold that raised concern for Mercedes-Benz. That threshold belongs to the proposed legislation; it is not an ownership-triggered restriction already in force under the current Commerce rule. The reported bill text includes proposed restrictions on connected vehicles, software and vehicle-connectivity hardware associated with covered countries or foreign entities of concern, as well as authorization and advisory-opinion mechanisms. Those provisions remain proposed rather than operative.

Neither the reviewed bill text nor the cited reporting establishes that Mercedes-Benz has received a waiver, secured an exemption or been the subject of a final legal determination under the proposal.
What does “20% Chinese ownership” mean?
Mercedes-Benz Group AG’s shareholder disclosure lists BAIC Group at 9.98% and Li Shufu at 9.69% through Tenaciou3 Prospect Investment Limited. The company says those figures are based on voting-rights notifications as of June 30, 2026. Their arithmetic sum is 19.67%.

AP characterizes the combined stakes as “nearly 20% passive Chinese ownership.” The disclosed percentages identify holdings; by themselves, they do not establish that the investors coordinate their votes, direct the company, control its board or act at the direction of the Chinese government. Nor do the percentages alone resolve how a final law would apply.
What restrictions are already in force?
A separate Commerce Department rule, administered by the Bureau of Industry and Security (BIS), took effect on March 17, 2025. It addresses specified connected-vehicle technology and manufacturers with a relevant China or Russia nexus. It is not simply a blanket restriction on every automaker with a Chinese shareholder.

Technology and transactions covered
Commerce defines vehicle connectivity system (VCS) hardware to include systems that enable external communication, such as telematics control units and Bluetooth, cellular, satellite and Wi-Fi modules. The rule also covers certain software integrated into a vehicle’s Automated Driving System (ADS), which Commerce describes as components that collectively allow a highly autonomous vehicle to operate without a driver.
Depending on the relevant foreign-adversary nexus, the rule prohibits importing VCS hardware or connected vehicles containing that hardware, and importing or selling vehicles containing covered VCS or ADS software. It also restricts new connected-vehicle sales by manufacturers with the relevant nexus, including vehicles made in the United States. Commerce’s final-rule announcement described its scope as passenger vehicles weighing less than 10,001 pounds and said it intended separate rulemaking for commercial vehicles.

BIS also describes annual declarations of conformity for importers and manufacturers that are not engaging in prohibited transactions, along with general authorizations, specific authorizations and advisory opinions. These are mechanisms under the current rule; their existence does not show that Mercedes-Benz has received a company-specific authorization or exemption.

Why is Mercedes-Benz being discussed?
AP connected Mercedes-Benz to the proposal because the two disclosed stakes add up to more than the 15% threshold the outlet attributed to the bill. That makes the company a potential concern under the reported proposal, but it does not establish a legal result: the bill has not been shown here as enacted, and its application would depend on final language and any relevant determinations.
Lael Brainard, then National Economic Advisor, described the separate Commerce rule this way in the Department of Commerce’s final-rule announcement: “Today’s rule will prohibit Chinese and Russian software and hardware from being used in connected vehicles on American roads, protecting consumers and ensuring a more secure American auto industry.” That statement concerns the technology-focused Commerce rule, not proof that the proposed ownership-based bill has become law.
