The Delaware Court of Chancery rescinded the 2018 award in January 2024 after finding Musk exercised transaction-specific control and that Tesla’s approval process was not entirely fair. On December 19, 2025, the Delaware Supreme Court reversed that remedy, reinstated the plan, and left the shareholder plaintiff with a $1 nominal-damages judgment. The headline that a judge found the deal unfair is therefore historically accurate, but it is not the final legal outcome.
What Tesla’s 2018 award was supposed to do
Tesla’s 2018 CEO Performance Award was an equity-option plan tied to operating results, revenue targets and increases in Tesla’s market capitalization. The proposed structure contained 15 milestones. Each milestone required another $50 billion increase in market value, with the maximum potential value commonly estimated at about $55.8 billion using grant-era assumptions.

The scale was extraordinary. The Chancery trial record said Tesla’s market capitalization was about $59 billion when the proxy was published and about $53 billion when shareholders approved the award. Each $50 billion step therefore represented growth roughly equivalent to the value of a major U.S. automaker at the time.

The figure is a potential maximum value, not cash paid at signing. It reflected the value of options if Musk achieved all of the plan’s market-capitalization and business milestones. The award’s actual value depended on Tesla’s performance and share price, which is why descriptions often round the grant-era estimate to $56 billion.

Why the Delaware Chancery judge found the deal unfair
Chancellor Kathaleen McCormick applied Delaware’s entire-fairness standard. Because the defendants could not show that both the process and the economic terms were entirely fair, she ordered the 2018 award rescinded.
Musk’s influence counted as transaction-specific control
McCormick did not rely on Musk holding a majority of Tesla’s voting power. She found that his high-status roles, managerial supremacy and influence in the boardroom gave him considerable power over this transaction. The court also pointed to Musk’s control over timing and the board’s dependence on him as Tesla’s central leader.
The opinion summarized the problem this way: “Musk wield[ed] considerable power in the boardroom by virtue of his high-status roles and managerial supremacy.”
The board did not conduct an adversarial pay negotiation
The court found no meaningful arm’s-length bargaining over the size of the grant and no persuasive benchmarking against comparable chief-executive compensation plans. McCormick wrote: “The most striking omission from the process is the absence of any evidence of adversarial negotiations between the Board and Musk concerning the size of the Grant.”

The first proxy left material gaps
McCormick also found Tesla’s original shareholder proxy materially incomplete or misleading about director independence, conflicts and the process used to approve Musk’s compensation. Those disclosure failures reinforced the finding that the transaction had not been shown to be entirely fair.
What Tesla’s second shareholder vote changed—and did not change
After the rescission ruling, Tesla asked shareholders to ratify the award again. Its April 29, 2024 proxy included the full Chancery opinion and warned that creating a replacement package could produce an accounting charge in excess of $25 billion. At Tesla’s June 13, 2024 annual meeting, a majority of the present and disinterested shares voted for ratification.
Why the vote did not reopen the Chancery judgment
McCormick refused to revise her decision. She reasoned that the vote occurred after the trial and could not retroactively supply a fact capable of reversing a completed judicial ruling. She also found that the second proxy was materially misleading in several respects. The ratification therefore did not restore the award at the Chancery level.

What the Delaware Supreme Court decided on December 19, 2025
The Delaware Supreme Court left important parts of the Chancery analysis in place but changed the remedy. It held that rescission could not put the parties back in their pre-transaction positions after Musk’s six years of performance and the vesting of the options.

The 2018 plan was reinstated
Because the shareholder plaintiff did not provide an evidentiary basis for a different damages calculation, the Supreme Court reinstated Tesla’s 2018 compensation plan and awarded nominal damages instead of ordering the award’s cancellation. The court’s ruling states: “We reverse the remedy chosen by the Court of Chancery – rescission of the 2018 compensation plan. We reinstate the 2018 plan and award the Plaintiff nominal damages.”
The judgment included $1 and a separate fee award
The nominal-damages award is $1. The court also directed that the plaintiff’s counsel fees and expenses be calculated under quantum meruit, with a four-times multiplier and post-judgment interest running from December 2, 2024. Those fee calculations are distinct from the status of Musk’s compensation plan.

| Issue | Delaware Court of Chancery, January 2024 | Delaware Supreme Court, December 2025 |

| Legal analysis | Applied entire fairness after finding Musk exercised transaction-specific control and the approval process and disclosures were deficient. | Retained important parts of the underlying analysis but rejected the remedy selected by Chancery. |
| Remedy | Rescission of Tesla’s 2018 compensation plan. | Reinstatement of the 2018 plan plus nominal damages. |
| Effect of Tesla’s 2024 ratification vote | Did not alter the judgment; the vote came after trial, and the second proxy was found materially misleading in several respects. | The appellate remedy, rather than the later vote, determines the plan’s present status. |
| Remaining financial issue | Not applicable after rescission order. | Quantum-meruit counsel fees and expenses, using a four-times multiplier, with post-judgment interest from December 2, 2024. |
What the ruling means for Tesla and Musk now
As a matter of the final appellate disposition, Tesla’s 2018 performance award is restored rather than void. The Supreme Court’s decision does not turn the Chancery opinion into a finding that the original approval process was exemplary; it changes the consequence of those findings from cancellation to reinstatement with nominal damages.

He faced a successful challenge to the deal’s fairness, but the award itself remains in force because the Supreme Court concluded that rescission was no longer workable after years of performance and vesting.
How to read the headline today
“Elon Musk’s $56B Tesla pay deal is unfair, judge rules” describes the January 2024 Chancery ruling, not the complete litigation outcome. The up-to-date version is: Chancery found the transaction unfair and rescinded it; Tesla’s later shareholder ratification did not persuade that court to change course; and the Delaware Supreme Court reinstated the 2018 plan in December 2025 while awarding $1 in nominal damages and ordering a separate counsel-fee calculation.
