Tesla did not pay Elon Musk $29 billion in cash. On August 3, 2025, its board approved an interim award covering 96 million restricted shares, whose headline value was estimated from Tesla’s share price. The award had service, purchase-price and holding conditions; Tesla later reported that it was forfeited in April 2026 after the company’s 2018 CEO award was reinstated. Tesla said the interim grant was intended to help retain Musk amid competition for AI talent.
What Tesla’s $29 billion figure meant
The August 2025 award covered 96 million restricted shares under Tesla’s 2019 Equity Incentive Plan. The approximately $29 billion figure was a contemporaneous market-value estimate, not cash paid to Musk or a fixed compensation expense. TechCrunch reported that estimate using Tesla’s then-current premarket share price; it also estimated a value of roughly $26.7 billion after accounting for the award’s $23.34-per-share purchase price. Both figures depended on the share price and calculation method at the time.
Tesla gave a different figure for accounting purposes. Its Form 8-K said that, for illustration only, if approval had been obtained on August 1, 2025, the award’s accounting grant-date fair value would have been approximately $23.7 billion under the company’s stated assumptions. Tesla said the actual accounting fair value would be determined later, based on the prevailing share price less the purchase price, with adjustments for illiquidity and the probability of the performance condition. At the time, Tesla said it did not expect that condition to be probable and could not predict whether it would recognize compensation expense.
What the interim award required
The grant was not immediately vested stock freely available for Musk to sell. Its principal conditions were:

- Continued eligible service: vesting was scheduled for the second anniversary of the August 3, 2025 grant, provided Musk continuously served through that date as Tesla’s CEO or as an executive officer responsible for product development or operations.
- Purchase price: Musk would have to pay $23.34 for each share that vested.
- Holding restriction: the shares were subject to a five-year holding restriction beginning on the grant date, with exceptions that included obligations for taxes and the purchase price.
- Protection against receiving both awards in full: the interim award could be forfeited early if a final, non-appealable court decision enabled Musk to exercise the 2018 CEO Performance Award in full. The grant also included a mechanism intended to prevent him from receiving the full economic benefit of both awards.
Tesla said a two-member special committee of disinterested directors, Robyn Denholm and Kathleen Wilson-Thompson, recommended the grant. Musk and Kimbal Musk recused themselves from the board approval, according to Tesla’s August 2025 Form 8-K.
Why Tesla cited an “AI talent war”
Tesla’s preliminary proxy materials said competition for AI talent and resources had intensified. The company wrote: “This competition has driven a race to secure top AI talent, including through nine-figure compensation packages.” That is Tesla’s characterization; the materials do not provide a count or independent market-wide dataset to establish how common those packages were.

The special committee argued that losing Musk could put at risk both his leadership and AI talent inclined to join Tesla under his leadership. Tesla framed the interim award as a first step toward retaining and incentivizing him, against a wider strategic backdrop that included AI, robotics, autonomy and emerging products. Those statements explain the company’s rationale; they do not establish that the grant retained Musk or improved Tesla’s recruiting results.
Why Tesla reported the award forfeited in 2026
Tesla’s first-quarter 2026 Form 10-Q says the Delaware Supreme Court reversed the Chancery Court’s order rescinding Musk’s 2018 CEO Performance Award. The Chancery Court entered a final order implementing that reversal on March 18, 2026. Tesla reported that its disinterested directors determined on April 21, 2026 that the reversal triggered forfeiture of the 2025 interim award. The same filing says Tesla had recognized no stock-based compensation expense related to the interim award as of March 31, 2026.

Tesla also described a separate implementation agreement concerning exercise of the 2018 award. The company said the agreement adds no economic benefit. Restricted shares issued upon exercise must be held until they vest, which requires continuous eligible service through January 19, 2028; a five-year holding period begins at vesting. Tesla said the agreement also provides for net settlement or cash payment of the exercise price and cooperation on tax obligations. These are the terms Tesla reported in its filing.

The later performance award is not the $29 billion interim grant. Its milestone structure and separate shareholder approval make it a different compensation arrangement.
