Pony AI Raises Its IPO Target to $260 Million Ahead of Nasdaq Listing

Pony AI increased its proposed IPO from about $224 million to $260 million, then completed the Nasdaq offering at the top of its price range. The deal raised capital, but the company remained deeply loss-making and valued below its prior private financing round.

Pony AI increased its proposed U.S. IPO from roughly $224 million to as much as $260 million in a November 20, 2024 filing. The Chinese autonomous-driving company planned to sell up to 20 million American depositary shares (ADSs) at $11 to $13 apiece. It ultimately priced the deal at the top of that range, raising $260 million in its IPO before fees and expenses.

The result was a larger public offering, but not a larger valuation story: Pony AI’s implied IPO valuation was substantially below its previous private-market valuation, and the company remained deeply loss-making.

What changed in Pony AI’s IPO?

The revised filing increased the proposed base offering from 15 million ADSs to as many as 20 million ADSs. The expected price remained $11 to $13 per ADS, making the maximum calculation straightforward:

20 million ADSs × $13 = $260 million in gross IPO proceeds.

Each ADS represented one Class A ordinary share. The $260 million was a proposed fundraising amount at the time of the November 20 announcement—not the company’s valuation and not its net cash after transaction costs.

TechCrunch reported the upsizing as Pony AI continued preparations for a Nasdaq listing.

The IPO’s shifting targets

Stage Transaction Amount
Earlier 2024 plan Earlier fundraising target $425 million
November 14, 2024 Proposed IPO of 15 million ADSs About $224 million
November 20, 2024 Revised proposed IPO of up to 20 million ADSs About $260 million
November 27, 2024 Completed IPO of 20 million ADSs at $13 $260 million gross
Concurrent private placements Strategic-investor financing About $153.4 million
Combined financing IPO plus private placements About $413.4 million gross

The increase from $224 million to $260 million was therefore real, but it should be viewed in context. The new target was still below Pony AI’s earlier $425 million fundraising objective. The company had also reduced its minimum valuation target from approximately $8 billion to approximately $4 billion during the IPO process.

What valuation did the IPO imply?

At $13 per ADS, the IPO implied a valuation of up to approximately $4.55 billion, according to Reuters reporting syndicated by Investing.com.

That was materially below Pony AI’s prior private-market valuation, which had reached roughly $8.5 billion after a 2022 financing round. The comparison is useful, but not perfectly like-for-like: private and public valuations can reflect different market conditions, share classes, dilution, investor rights and transaction structures.

In other words, the IPO price established a public-market entry price for Pony AI shares; it did not mean the company had simply lost a fixed percentage of its technology value. It did show that public investors were assigning a considerably lower valuation than the company’s last widely reported private financing valuation.

What Pony AI does

Pony AI is more than a robotaxi operator. The company describes its technology as a vehicle-agnostic “Virtual Driver” platform that combines autonomous-driving software, hardware and related services.

Its business areas included:

  • Robotaxis: autonomous-driving services for passenger transportation.
  • Robotrucks: autonomous freight and logistics applications.
  • Licensing and applications: technology and software-related revenue.
  • Engineering and deployment support: work with automakers, transportation companies and logistics operators.

This distinction matters because Pony AI’s financial results were not driven solely by passenger fares. In 2024, robotruck services and licensing and applications generated substantially more revenue than robotaxi services.

Fleet footprint and commercialization

At the time of the IPO upsizing, Pony AI reportedly maintained approximately 190 robotrucks in Beijing and Guangzhou and approximately 250 robotaxis in Beijing, Guangzhou, Shenzhen and Shanghai. The company was using that footprint to develop and commercialize autonomous-driving services across passenger and freight transportation.

Fleet totals should not be read as a direct measure of business maturity. They do not establish how many vehicles were operating at any given time, how often they carried paying customers, whether safety drivers were required, or whether operations were profitable. A vehicle deployed in testing or limited service is not equivalent to unrestricted Level 4 autonomous operation.

Pony AI’s 2024 financial picture

Pony AI reported approximately $75.0 million in 2024 revenue and a $275.0 million net loss. Its reported revenue mix was:

Business 2024 revenue
Robotaxi About $7.3 million
Robotruck About $40.4 million
Licensing and applications About $27.4 million

The numbers illustrate both the opportunity and the challenge. Pony AI had begun generating commercial revenue across multiple categories, but its losses were several times larger than its annual revenue. Continued research, fleet expansion, vehicle integration, mapping, safety work and regulatory compliance required significant capital.

For a later perspective, Pony AI reported approximately $90.0 million in 2025 revenue and a $76.8 million net loss. Robotaxi revenue rose to about $16.6 million, while robottruck revenue was about $40.6 million. Those figures come from the company’s 2025 Form 20-F and should not be treated as information available when the original November 2024 announcement was made.

Why pursue a U.S. listing?

Pony AI’s Nasdaq listing could provide access to public equity capital, greater visibility among international investors and a publicly traded share currency for future financing, acquisitions or strategic partnerships. A U.S. listing could also give early investors and strategic backers a potential public-market exit route.

The timing reflected renewed investor interest in autonomous-driving companies, but the decision carried significant trade-offs. A China-based autonomous-vehicle company listed in the United States faces exposure to geopolitical tensions, regulatory scrutiny, disclosure requirements, data-governance concerns and changes in market access. Public trading also subjects the company to market volatility that private financing can temporarily avoid.

Was the upsizing proof of strong demand?

Not by itself. Increasing the deal from $224 million to $260 million may indicate investor interest, favorable indications of demand, a decision to sell more shares, a desire for greater liquidity or a need to strengthen cash reserves. It could also reflect restructuring of the transaction after the lower valuation expectations.

The eventual outcome was more encouraging: Pony AI sold the full 20 million ADSs at $13, the top of the proposed range. That is stronger evidence that the deal could support its maximum base size and price than the preliminary upsizing alone. It still does not prove long-term confidence in Pony AI’s technology, profitability or share price.

What ultimately happened?

The SEC declared Pony AI’s registration statement effective on November 26, 2024. On November 27, the company announced that it had priced 20 million ADSs at $13 each, raising $260 million in gross IPO proceeds. The shares began trading on Nasdaq under the ticker PONY, with the offering expected to close on November 29, subject to customary conditions.

Underwriters also received an option to purchase up to 3 million additional ADSs. Separately, strategic investors agreed to buy approximately $153.4 million of Class A ordinary shares in concurrent private placements. Together, the IPO and private placements represented approximately $413.4 million in expected gross proceeds, excluding any exercise of the overallotment option.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That combined figure should not replace the headline IPO number. Pony AI’s public offering raised $260 million; the additional $153.4 million came from a separate concurrent financing.

Risks behind the financing

Pony AI’s regulatory filings warned that autonomous driving remained an emerging technology with substantial technical and safety uncertainties. The company had limited experience with large-scale deployment and had not established large-scale commercialization across its robotaxi, robotruck and licensing businesses.

Other material risks included:

  • High capital requirements for fleet growth and vehicle deployment.
  • Regulatory changes that could delay or restrict autonomous operations.
  • Uncertain forecasts for market size, revenue and commercialization.
  • Substantial historical losses and no assurance of near-term profitability.
  • Public concern about autonomous-vehicle safety affecting adoption.
  • China-related geopolitical, regulatory and market-access risks connected with a U.S. listing.

The company also faced a U.S. operational setback: TechCrunch reported that Pony AI lost its permit to test autonomous vehicles in California in 2022. That illustrated the gap between global ambitions and the ability to operate in a particular U.S. jurisdiction. It did not end Pony AI’s global business or prevent its later Nasdaq listing.

What the $260 million really meant

Pony AI’s IPO upsizing was a meaningful financing milestone. The company expanded the proposed share count, priced the final deal at the top of its range and raised substantial additional capital through strategic private placements.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

But the financing did not resolve the central investment questions. The IPO valuation was below the prior private valuation, 2024 losses remained large relative to revenue, and fleet size did not demonstrate profitable or fully driverless commercial operation. The most accurate reading is that Pony AI secured public funding to continue building its autonomous-driving business—not that it had already proved the economics of robotaxis or robotrucks.
