Nissan announced on March 11, 2025, that CEO Makoto Uchida would leave the role and be succeeded by chief planning officer Ivan Espinosa, effective April 1. The announcement came about a month after Nissan and Honda ended talks about a business integration. Nissan’s financial pressure was also part of the backdrop, but the public statements do not establish that the failed talks alone caused Uchida’s departure.
What happened, and when?
| Date | Event |
|---|---|
| December 23, 2024 | Nissan and Honda signed a memorandum of understanding to consider business integration. Their initial proposal was to create a joint holding company; Mitsubishi Motors had considered joining the group. Nissan’s announcement |
| February 13, 2025 | Nissan and Honda ended their business-integration MOU. Nissan, Honda and Mitsubishi also ended their tripartite-collaboration MOU, while saying their strategic-partnership framework would continue. Nissan’s announcement |

Why did the Nissan-Honda talks fail?
The companies’ leaders gave different public accounts of the proposed structure and its rationale. Those accounts describe the executives’ explanations; they do not independently settle what happened in private negotiations.
| Issue | Nissan CEO Makoto Uchida’s account | Honda CEO Toshihiro Mibe’s account |
|---|---|---|
| Proposed governance structure | Uchida said the discussions had shifted from forming a joint holding company to making Nissan a Honda subsidiary, a structure he could not accept. | Mibe described Honda’s proposal as a stock swap intended to speed up decision-making. |
| Stated rationale | Uchida said the proposed arrangement would not realize Nissan’s potential. At the February 13, 2025, news conference, he said: “The intent was to join forces to win in the global competition, but this was not going to realize Nissan’s potential, so I could not accept it.” | Mibe said Honda proposed the stock swap to accelerate decision-making. |
The Associated Press’s account of the February 13 announcement reported both executives’ descriptions. Uchida said Nissan would pursue a turnaround without Honda.
Who is Ivan Espinosa?
Espinosa was Nissan’s chief planning officer before being named Uchida’s successor. The Associated Press reported that he joined Nissan in 2003 and spent much of his career in Mexico and Southeast Asia, including in product-planning roles. At the March 11 announcement, Espinosa said: “I sincerely believe that Nissan has so much more potential than what we’re seeing today.”

What financial pressure was Nissan facing?
The succession announcement came as Nissan dealt with weak results and planned restructuring. The Associated Press reported that Nissan had projected an 80 billion yen loss for the fiscal year ending March 2025; that was a forecast at the time, not a confirmed final result. Nissan had also announced plans to cut 9,000 jobs.

Separately, for April through December 2024, Nissan reported a profit of 5.1 billion yen, down from 325 billion yen in the same period a year earlier, according to the Associated Press. These figures provide context for the leadership change, but they do not prove that financial performance—or the collapse of the Honda talks—was the sole reason Uchida was replaced. No. Ending the business-integration MOU did not end the companies’ stated strategic partnership. Nissan’s February 13 announcement said Nissan, Honda and Mitsubishi would continue collaboration under their strategic-partnership framework, focused on intelligent and electrified vehicles. The Associated Press reported that the companies said they would continue working together on electric vehicles and smart cars, including autonomous driving. That public commitment does not establish the later status of any individual project.
