That is the company’s account in a court filing, not a judicial finding that Fisker was insolvent then.
What Fisker’s bankruptcy declaration says about August 2023
In a declaration filed on June 21, 2024, Chief Restructuring Officer John C. DiDonato wrote: “Beginning in August 2023, when it first became apparent that the Company was facing potential financial distress, the Company began exploring a potential partnership with, or investment from, a large original equipment manufacturer (the ‘OEM’).” Read the declaration.
The wording matters: DiDonato described when potential distress first became apparent to the company. It does not say Fisker was definitively insolvent in August 2023, and it does not establish that a court found the company to be insolvent then.
How the situation developed
- August 2023: According to DiDonato’s declaration, Fisker began exploring an automaker partnership or investment when potential financial distress first became apparent.
- Late 2023: The declaration says Fisker recognized a possible OEM transaction would probably need to be part of a broader financial restructuring and retained restructuring counsel. It also says the company cut the Ocean’s price by approximately 11% in late 2023.
- March 2024: The declaration describes cost reductions, an Ocean price reduction, a production pause and a skipped interest payment as liquidity measures. It also reports a commitment for an additional $166.7 million in secured notes, contingent on ongoing OEM discussions; the filing says none of that amount was funded before the OEM ended negotiations.
- April 2024: The OEM ended negotiations, according to the declaration. Fisker then began a process to market its assets. The filing describes the company as precariously positioned amid a precipitous sales decline.
- June 2024: Fisker Group filed for Chapter 11 on June 17. Fisker Inc. and other U.S. subsidiaries filed on June 19. The issuer confirmed the dates in its SEC Form 8-K.
What the public messaging can—and cannot—show
In August 2023, Fisker also held a Product Vision Day and promoted vehicle models in development. TechCrunch reported that CEO Henrik Fisker said: “We want the world to know that we have big plans and intend to move into several different segments, redefining each with our unique blend of design, innovation, and sustainability.” TechCrunch’s June 21, 2024 report provides the contemporaneous context for those remarks.

The public plans and the later court account make for a notable contrast, but the contrast alone does not establish what the CEO knew, what he intended, or whether the public remarks were deceptive. For the company’s reported internal assessment and response, the declaration is the relevant source; the event coverage documents what was said publicly.

DiDonato’s declaration says Fisker had reduced employee headcount by approximately 75% by the petition date. That figure, like the account of when distress first became apparent, is the debtors’ representation in a bankruptcy filing.
